What debt are you predicting will be swapped to equity? The potential Mark Ward loan? If I was him the last thing I would want to do is take more equity. And who is "we"?

The terms of the loan agreement are going to be important and in our view likely to be detrimental to existing shareholders. While the outlook for 2021 remains uncertain, our previous 10M valuation appears optimistic. Despite vaccination progress, travel restrictions seem likely to remain in place for at least some destinations for part of the summer season, and without students on campus we expect this to under-perform throughout H1. We expect dilution (most likely through debt/equity swap in the first instance), pre-money 5M: valuing current shares somewhere in 35-45p range - with potential to be significantly lower. Long-term company outlook uncertain.

My favourite adage when evaluating one of your underperfoming shares, "If you weren't already invested, would you buy them now? If not, then sell" So I've taken the hit on this particular trade. The £500k loan from Mr.Ward may be an honest business arrangement but the terms of any loan the business enters into needs to be made public. If it is redeemable whenever Mr. Ward feels like it, that would be a red flag. I've been stung before when a major shareholder calls in their debt and then its pre-pack administration out of nowhere, as they effectively nick off with the shareholding they don't already own on the cheap.

The contrarian view is that this is a good buy IF you think women will want tans and people will still go on holiday once this COVID issue is over/reduced. As that is highly likely then it's a question of patience (and balls of steel)

So of course this is what happens when you invest in companies that produce little or no free cash flow, even in the "good times". All that CAPEX the rampy morons overlooked in their naive PE calcs comes home to roost as the cash runs out. Thicko rampers will always be losers at this game, in the end...

The largest customers of Skinny Tan have been confined to their caravans and static homes, and movement severely restricted, so not surprising at the decline in sales. Likely applies to the sale of putty knives and mortar trowels alongside.
