Reckon they were very lucky to get funding away even with the discount - Travel likely to be restricted for longer (imo) in particular to to the concern that the SA mutation may be able to avoid the vaccine antibodies,

Roger McDowell has a highly successful career as a businessman and entrepreneur. He was Chief Executive of Oliver Ashworth Group plc for eighteen years before its sale to St Gobain. He is currently the Chairman or a non-executive director of eight listed companies, namely Avingtrans plc, Brand Architekts Group plc, Flowtech Fluidpower plc and Hargreaves Services Plc as Chairman, and Augean Plc, British Smaller Companies VCT2 Plc and Tribal Group plc as non-executive director. He brings considerable commercial experience with him and is a keen exponent of growing shareholder value.

P S Farming is much more satisfying and mentally rewarding than playing around with shares(but each to their own!)

Kinwah - Very true and (imo) much more risky as can have the ability to keep dirty washing hidden for longer - PLUS of course extra charges of 0.5% stamp duty, Standard listing for me is often a RED flag - burnt too often.

No need for the debenture as the loan should be replaced quickly with equity from a placing/rights issue and as a director Ward should have pushed the board to do that at an earlier stage. Just as well IDP are not on AIM with Finncapp as the NOMAD as Geoff Nash at Finncapp would have got an angry phone call from me for signing it off. It is a reminder to investors that companies with standard listings on the LSE are much less regulated than companies on AIM.

Being a long term holder, i've suffered just like many others. However, it would appear that the new management have decided the business is viable but to achieve this, they need to clear some cobwebs. The intangibles definitely needed reviewing and the only way is downward. Not a cash absorbing exercise but needed in my view. The loan suggests a placing (hopefully not just for the Directors and institutions) which would enable the loan to be repaid. The fact that Mark Ward will re-invest this money in such a placing is good news. He certainly thinks the business has potential. Looks like i'm in for the long term and I would welcome a placing to existing shareholders too. Let's hope he can start to produce some consistent earnings and profits after tax and Amortisation rather than just at EBITDA level. Fingers crossed.....

Pretty sure its to keep the lights on while they sort a placing. Interesting that Ward will take more equity so doesnt want the money back, thats positive at least.

What debt are you predicting will be swapped to equity? The potential Mark Ward loan? If I was him the last thing I would want to do is take more equity. And who is "we"?

The terms of the loan agreement are going to be important and in our view likely to be detrimental to existing shareholders. While the outlook for 2021 remains uncertain, our previous 10M valuation appears optimistic. Despite vaccination progress, travel restrictions seem likely to remain in place for at least some destinations for part of the summer season, and without students on campus we expect this to under-perform throughout H1.
We expect dilution (most likely through debt/equity swap in the first instance), pre-money 5M: valuing current shares somewhere in 35-45p range - with potential to be significantly lower. Long-term company outlook uncertain.

My favourite adage when evaluating one of your underperfoming shares, "If you weren't already invested, would you buy them now? If not, then sell" So I've taken the hit on this particular trade.

The £500k loan from Mr.Ward may be an honest business arrangement but the terms of any loan the business enters into needs to be made public. If it is redeemable whenever Mr. Ward feels like it, that would be a red flag. I've been stung before when a major shareholder calls in their debt and then its pre-pack administration out of nowhere, as they effectively nick off with the shareholding they don't already own on the cheap.
