FYI, the LTIP for 2022.

LONG TERM INCENTIVE AWARDS
Awards will be made under the Long-Term Incentive Plan (“LTIP”) approved by the board.

The 2022 annual awards have been made in line with the LTIP rules, with the Remuneration Committee removing the Absolute Total Shareholder Return (“TSR”) criteria for the 2022 LTIP in favour of a relative TSR performance criterion over the S&P Commodity Producer Gold Index (as detailed below) in order to reduce the impact of the gold price in favour of relative outperformance.

Subject to the performance criteria being met for each respective tranche and continuous employment with positive performance, under normal circumstances, the RSUs are expected to vest on 4 February 2025 in two tranches as follows:

a Retention Tranche: 1/3 of the RSUs will be based on continuous employment, malice provisions and the employee meeting personal and Company targets.

b Relative Total Shareholder Return (“TSR”): 2/3 of the RSUs will be based on Relative TSR against the S&P Commodity Producers Gold Index, with 25% vesting for meeting the index rising on a straight-line basis to 100% for 5% outperformance
.
The RSUs under the 2022 LTIP consist of options granted over ordinary shares in the Company of £0.01 each (“Shares”;), which have an exercise price of £0.01 per Share. Once vested, any RSUs may be exercised by the holder during a set exercise period determined by the Company and notified to the option holders. This is intended to be a minimum of a one-week period per year when the Company is in “open period” under MAR. Unvested RSUs will normally lapse on cessation of employment for any reason. The RSU holders will normally retain vested RSUs following cessation of employment and will have two years from the date of cessation of employment to exercise,
after which the RSUs shall (lapse?)

Total awards granted to the CEO and CFO, are 3,079,455 and 1,979,649 respectively.

On Kouroussa - The WACOM contract is a lump sum fixed price, with penalties for late delivery. Additionally to help ensure the project is delivered on time the company has agreed an incentive package consisting of a potential bonus of up to USD2.6M consisting of a cash bonus of up to USD0.75M with the balance of up to 1.85M payable through the issue of 6,342,857 new shares in HUM at the agreed price of 0.22 pence per share to be issued 12 months after expected delivery date..

It is getting very close to an update here now (Q1 ref 25.04.2022) and only 8-12 weeks out to 1st pour.. :o)

Usual management snouts in trough, most AIM company directors act like this to varying degrees. Remember to vote against all directors, including NEDs at the AGM. Won't make any difference but feels good.

As for HUM, there was a tweet saying how many hours they've gone without incident at Kour, which was positive at least.

We all know that Betts and Co treat HUM like a private company. So, we shouldn't be very surprised. The only positive I can take from this news is that the more shares Betts and Hill, in particular, own, the more they may concentrate on the money they can make from their shares rather than their salary plus bonus. If they start producing to plan without a SNAFU, they can make more.

Hopefully this means we will have a decent quarter at Yani ,pity that management could not have foreseen the cash requirements and started mining the higher grade pit earlier but it is what it is , we are now very close to Kor production and thats why I am invested here.

The RSUs will be available in a one week period when company in open period under MAR. I think there should be extra requirements. Reminds me of a far side card on peer review. They can have the awards if they make it through a 'panel' of shareholders. Usually, the 'panel' have weapons of their choice and board member just has to reach the finish, I mean vesting, line beyond them.
