It is worth remembering that the recent 9% sale went to a buyer deemed to be "acting in concert" with AR. This same party has indicated that they wil not however be offering these shares to AR. That means that the Khazak team will have over 50% between them if AR only get 42%. As they say on the internet - BOHICA!

It would appear obvious to me that if and when HMB need further cash for Akmola, the UG, or 'other', then loans will be advanced on commercial terms from AR.

In the meantime, HMB have adequate working capital, they have cut back on the UG CAPEX, and they have ongoing revenues from the open-pit.

So why on earth are we getting all this talk about funding? Other than the usual talking down of HMB on this thread of course.

Possibly but if they need funding they need funding. And AR with 60% could veto any alternatives put forward by the 40% :-)

Then your broker is incorrect.
You should be able to state exactly how many of your shares you wish to sell at the offered price - from 0 up to your actual holding.
This is what I have been presented with.

The way I understand the offer and looking at my offer document I can only sell or not sell my total holding. And the amount that is finally sold depends entirely on what the rest of the share holders have done.
i.e If all the share holders have voted to sell then everyone will sell 60% and have 40% returned.

LFDKMP, that is what I think AR will do. They can issue more shares without diluting themselves, as you say, they can actually increase their potential holding via a placing - if they themselves buy over 60% of the placing shares.

Would anyone care to comment on my (probably flawed) hypothesis.

Via this offer, AR acquire sufficient shares to have a controlling interest. Once they have that interest, HMB then issue sufficient additional shares (via a placing) to AR, diluting all remaining holders, and then giving AR sufficient aggregate holding to take HMB private at terms then dictated by AR?

If AR get their controlling interest I would have thought that further dilution is very unlikely.

With such wealthy backers, the most logical way to fund HMB expansion will be by internal loans.

The last thing the AR would want (I would have thought) would be more HMB paper. The whole point of the offer is to gain a controlling interest so why would they wish to see their interest diluted.

Are AR debarred from making another offer for the remainder for some time (6 months?) after this one - assuming it goes through?

Thats the point i'm struggling with.

What will happen to the share price assumig the offer goes through. That in itself is a money making (or loss making exercise)

a. share price rises - maybe better to offer slightly less shares?
b. no change in share price - could buy back in at 1.6/1.7p although liquidity may now a problem
c. share price falls - so offer all your shares for 2p

on balance with the u/g now mothballed for atleast 9 months the catalyst would seem to be Akmola if they can get the waiver.But then there is the need for fund raising and the form it takes. (dilution even tho AR just paid for 60%?)

Any thoughts folks ? Has this happened to any other stock ?

I received my voting documents yesterday & have returned today, personally i'm not selling any.

Many because my holding is tiny compared to most here so if i make a loss on this stock it won't be life changing but if by chance i recoupe my initial outlay then i'll be happy, hell if I make a small profit that would be even better but i'm not holding my breath.

I am intrigued as to why some are keeping 40% of their stock. This 60/40 thing is the aim of AR. You can sell as many or as few as you want to them.

For me I think I will hang on to the lot

Still mulling it over whilst I get on with other stuff.

Not too bothered either way as, like Dof, I can always add stock once the dust has settled after the offer closes.

My current thinking is to keep 40%+ of my stock - but prepared to keep 100% if the probabilities look right to me. Just not sure which way to play it at the moment!

IG have advised that I need to phone or email corporate actions if I wish to tender all or part of my spead bet, and of course I have no voting rights for my exposure via IG.
