Corporate lawyers......I have worked on a couple of deals like this (from the buy side) in the past. Normally we would divide the "key people" list into two parts. One, key people we wanted to maximize the chance they would stay forever (or very long time) and two, key people we needed for a transition period.For the second group we would put in place a retention bonus ("stay bonus") system that would pay out at the end of some period (e.g. two years). Sometimes we would prorate it (e.g. 25% at one year and 100% at two years).For the first group we would have a combination of a bonus and stock options (NQ). The vesting of the options would kick in in 5 years and often these same people would be included in the annual option program such that additional option tranches would be granted annually.We rarely customized a package per individual. In fact, the only time I remember doing that was a deal we did where the original owner retained 20% of the company and we had a buyout formula for his 20% based on performance of the business unit post-acquisition.
