NoBull - you are incorrect. Bermuda registered companies are not bound by listing rules, certainly not in off market transactions.There is no reason at all why the company could not agree with a third party to purchase a lump of stock from them, at a future date and agreed price.And there could be several third parties.All they needed was their shareholders permission by resolution granted 2019

If the company purchases an option to buy back its own shares, then that is an interest in its own shares, even if it is an "out of the money" one.

Such a transaction is likely to be caught either by the listing rules, or by accounting rules (the latter when the company's results are published).

Sure, the company would buy an "out of the money" call option, to buy back its own shares, just like aliens would come to Giza, build a few pyramids, and then leave no trace of themselves.

Have you got an out-of-money call about to drop out of your backside? Is that a secret proxy buyback dripping from your nose?

The Admission to the Official List document published 20.Mar-2014, which detailed GKP's Main Market Trading listing contained the following statement as part of the Page 1 Introduction:

" Application has been made for the Common Shares to be admitted to the standard segment of the Official List. A Standard Listing affords investors in the Company a lower level of regulatory protection than that afforded to investors in companies whose securities are admitted to the premium segment of the Official List, which are subject to additional obligations under the Listing Rules.

It should be noted that the UK Listing Authority WILL NOT HAVE THE AUTHORITY TO (AND WILL NOT) MONITOR THE COMPANY'S COMPLIANCE with any of the Listing Rules and/or any provision of the Model Code or those aspects of the Disclosure and Transparency Rules which the Company has indicated herein that it intends to comply with on a voluntary basis, NOR TO IMPOSE SANCTIONS IN RESPECT OF ANY FAILURE BY THE COMPANY TO SO COMPLY."

I have posted this several times over the years, and as far as I am aware, it's relevance has not altered.

IMO The London Financial Market is a sewer, and well-populated by Sewer Rats (aka Legal- and PR Firms).

Why do you think the company RNSed all its buyback transactions before, all in accordance with the rules set out above in 12.4.6 in #648649



If the company does off market transactions that disobey the listing rules, it risks being booted off the stock exchange.
