ALTERATION OF CAPITAL 49.

The Company may from time to time by Resolution:

49.1 divide its shares into several classes and attach thereto respectively any preferential, deferred, qualified or special rights, privileges or conditions;

49.2 consolidate and divide all or any of its share capital into shares of larger par value than its existing shares;

49.3 sub-divide its shares or any of them into shares of smaller par value than is fixed by its memorandum, so, however, that in the sub-division the proportion between the amount paid and the amount, if any, unpaid on each reduced share shall be the same as it was in the case of the share from which the reduced share is derived;

49.4 make provisions for the issue and allotment of shares which do not carry any voting rights; 23

49.5 cancel shares which, at the date of the passing of the Resolution in that behalf, have not been taken or agreed to be taken by any person, and diminish the amount of its share capital by the amount of the shares so cancelled;

and 49.6 change the currency denomination of its share capital. Where any difficulty arises in regard to any division, consolidation, or sub-division under this Bye-Law, the Board may settle the same as it thinks expedient and, in particular, may arrange for the sale of the shares representing fractions and the distribution of the net proceeds of sale in due proportion amongst the Shareholders who would have been entitled to the fractions, and for this purpose the Board may authorise some person to transfer (or, in the case of shares for the time being in uncertificated form, to take such other steps in the name of the holder as may be necessary to transfer) the shares representing fractions to the purchaser thereof, who shall not be bound to see to the application of the purchase money nor shall his title to the shares be affected by any irregularity or invalidity in the proceedings relating to the sale.

It's far more common for M+A to go down amalgamation route in Bermuda, provides a stamp cost saving too , but we will get a vote any way they go.Not that are vote will matter .They will by now have necessary acceptance imo

Sharepad has added the FX rates. I don't know where they got them from but they have todays dividend as 9.5308p and the later one as 19.0616p.

I'm an uber bull but, IF there are 13bn barrels down there and a buyer has satisfied themselves of that, then it's an outside possibility. Just my opinion of course. :-) Anything in 3 figures will please me.

Hi Zangdook,

I emailed GKP twice yesterday and got no reply.
I emailed Aaron Clark directly at GKP IR as well as Cellicourt, this morning.
Aaron is on annual leave, back Monday.
Cellicourt replied saying they were on the case - but have yet to report anything more.
I guessed at Weatherdon's email address, no response but also no bounce back.

I stated I cannot think of a positive reason for GKP delaying notifying the Market of the sterling rate. It also puts pressure on spread bet accounts as the expected drop in share price when a company goes ex-div is balanced by the dividend receipt in the spread bet account.

This delay may result in spreabetters being obliged to close their position - bringing about more downward pressure on the share price
Any delay would be beneficial to a shorter, not any holder.

I also hold shares in both certificates and in a nominee account, by the way.

They used to credit dollar divs at the current ex rate.I have a few there, and complained this am ...as I wanted to use it to buy more today......they on it ....but I reckon it's because gkp didn't RNS a formal div payout which I expected Tues/wed, probably get credited tomorrow

Because they have been made an offer they can't refuse...it's what Perella have been up to , and Putin has driven the price higher no doubt.It is raise $1bn now and march on. ? Or take the highest bid.

Where you get your figures and why would GKP merge or sell, they don’t need to???

Any idea's what Company may be doing this Bermuda amalgamation? IF so it may not be a price set but so many shares to each GKP share in the new company.

Bermuda sale by amalgamation requires a 50% + shareholder majority at an SGM called to vote on it .....Done deal now.The acquiring co will have agreed her appointment.Super :)))

You might be right, Arcadian, but I find it hard to believe we could be sold without shareholder approval. The BOD could nick the company without the owner's agreement? There must be some consultation/approval, surely?

If I had to settle for P2's £320 then I'd have to buy a yacht in the West Indies. Not that I hold of course as Muttley told me this company is worthless so I sold up ....

If I remember Bermudan company law correctly an amalgamation only requires the support of the BOD. Shareholder approval is not necessary.
