Its probably the largest supergiant on land not in hands of IOC.

I'd take £4 for my shares in the extremely improbable event, at least in the short term, of a takeover offer emerging. Two in the last 12 years, and neither achieved a change of control. What makes you so sure one will emerge in the short term?

No. They are two sets of different rules made by different people. The one set that is the more restrictive is the one that effectively limits GKP's actions. In wording the Bye Laws, a lawyer maybe has to think the other rule maker might change their rules, so to take that into account, the lawyer must give GKP the maximum flexibility in the Bye Laws - he doesn't want the bye laws unintentionally inhibiting GKP's freedom to act how it pleases.
