Pensioner, I think the resolution was probably to amend the Bye-Laws (what we call Articles of Association in the UK?). Obviously the Bye-Laws need to grant the maximum flexibility so that they are not even more restrictive than the Listing Rules that GKP voluntarily complies with. If I were a lawyer, I think I would adopt that exact wording to amend the bye-laws.

If shareholders approve a buy back they can be done at any time, even during a bid, but in practice, I would have thought buybacks during a bid would be near impossible to carry out simply because of the limitations on the price that is allowed to be paid by the Listing Rules.

Doing special buyback deals with particular shareholders (off market transactions?) at any time violates the principle of basic fairness that all shareholders should be free to sell into a buyback, one of the principles that companies listed in the UK should follow. Our company voluntarily complies with Chapter 12 of the Listing Rules on buybacks.

Secret buybacks, using proxies, call options, off market or otherwise, whether approved or not by the Bermuda Companies Act, or whatever other theory Paul cares to suggest would seem to violate this principle.

The Bermuda Companies Act probably is not the biggest constraint on GKP's potential buyback plans, if GKP has any. JMV.

I've been (slightly) concerned about the high water content in the
Baluti ever since the Final DGA Report came out. But I'm becoming ever
more of the opinion that the results are a consequence of incorrect
CPI calculation assumptions / parameters. The comment in your last
post:

"Seems odd to me however that they have found a phi = 9% interval with
Sw = 47%, yet the interval(s) with phi = 17% have Sw > 60%. Wouldn't
you have expected the saturations to be reversed?"

is absolutely spot-on and another indication that something is wrong
with the CPI calculations. The underlying principle that invariably
holds true is that the Bulk Volume of Water, (BVW = PHI x Sw), should
remain more or less constant in an oil zone situated well above the
OWC. So as porosity PHI increases then water saturation Sw should
decrease (and vice versa). The fact that both PHI and Sw are
substantially higher in Net Reservoir compared to Net Pay (where BOTH
are lower) does point to something not quite right with the Parameters
in the CPI calculation model.

The lithological column in the DGA Report (Figure 2) shows that the
Baluti comprises mostly shale although the boundary with the Butmah
above and the Kurre Chine below is not that clear and references in
the literature are also uncertain (some classify that Baluti is
Triassic rather than Jurassic):

Section 9.2.2.2 in the above states that "It comprises 60m of grey
green and grey shales with decimetre beds of thin bedded dolomite,
silicified, and oolitic limestones, and recrystallisation breccias". A
petrophysicist's nightmare! Oolites could certainly explain the very
high 'apparent' porosity (ooilites can be visualised as spherical
balls of calcite with water trapped inside). And the shale can
likewise lead to high 'apparent' porosity and Sw if not properly
accounted for in the CPI calculation. DGA have definitely NOT
accounted for shale in their Sw calculation because they only used a
simplistic Archie model (bullet point 5 on page 17 of the DGA report).

The Baluti Formation stands apart from all the others in the Zone
Average Table (page 20 DGA Report) not only with regard to very low
Net Pay c.f. Net Reservoir but it also has the highest Net/Gross and
highest average porosity (by far) over Net Reservoir intervals. I
think that all of these things taken together do point to a problem
with the CPI calculation. I am not saying that a 'correct' CPI
calculation is possible - sometimes things are just too complicated
(shale + dolomite + silica + oolites + breccias!) and the only way to
a definitive answer is to perforate and see what comes out. So back to
my original point, why did they drop the planned DST in the lower
Butmah!

Q. How fast do you think the Ber Bahr well will drill?
A. I think they will be done by March. That’s my guess

Q. Do you think they are in a rush?
A. They are getting after it they are not hanging about.

Q. What is your understanding of the condition of the export lines to
the north via Turkey? Is it realistic to assume that there is
sufficient reliable capacity to handle major additions to exports when
Afren, GKP and Genel ramp up production?
A. There are two pipelines out of Kirkuk. One is out of commission and
one is being used. The point from the loading station at Fishkabur out
to Ceyhan apparently is in relatively good nick. A lot of the poor
maintenance is to the south of the spur where we are.

Q. Have there been a couple of incidents recently with that, has there
been a leak recently?
A. Yes they had a leak and the pressure lowered. There have been a
couple of incidents where the federal Iraqi Gov reduced the throughput
because of various maintenance and leaks etc. It is operating under
capacity at the moment.

Q. How far are you on with your pipeline?
A. We’ve got a provisional scoping study in place. It is a 120km
pipeline and if all goes to plan we will have in place at the end of
next year.

Q. So everything is planned then?
A. The FEED study is out there. We have the design concept underway.
It is all out there it is not pie in the sky. There is paperwork to
accompany all of this stuff!

Where in the City Code on Takeover and Mergers does it say a company can't do buybacks? The listing rules in practice make it difficult, surely, to do buybacks at less than 5% of the VWAP if there is a bidder actively buying the stock in the market, I wonder? Your conspiracy theories get ever more complex.
