No they don't need shareholder approval:They got it in June 19 (b) By deleting Byelaw 4 and replacing it with the following:"4. The Board may, at its discretion and without the sanction of a Resolution (i) authorise the purchase by the Company of its own shares for cancellation or acquire them as Treasury Shares in accordance with the Companies Acts on such terms as the Board shall think fit and (ii) exercise all the powers of the Company to purchase or acquire all or any part of its own shares in accordance with the Companies Acts

Well thats a bit different from a "corrupt" BOD but I take your point. But they would still have to get shareholder approval. I would say the most likely holders of some undeclared shares would be the Kurds. For the reasons you have given.

H nobody has been more aware than the KRG and GKP board that the market has always hugely undervalued the company .Hence buying as much stock back as possible has always been the most obvious value accretive use of their excess cash.Using a 3rd party to do it they own imo s big chunk of the 41% outside the top 10 holders.This hugely concentrate s profits for remaining holders on TAKEOVER.They gave themselves authority to do this without telling the market June 19 TBA

I doubt it was the BOD BLG, because of the consequences of what is Insider Dealing . However it could have been the KRG or "others" in possession of "market sensitive information " LOL . Because I imagine more than few of the KRG will be heading our way once the IMF investigation is complete and they cant explain where the missing $billions in Oil Revenue went or the bank accounts they have all over the world - including the USA.

9 billion bbls of reserves ? @ $8 a bbl ? That will do me.
