Belgium's Fluxys Sells Subsidiary to France's GDF Suez for EUR70 Million

BRUSSELS – Belgian natural gas network operator Fluxys Belgium SA (FLUX.BT) said that it sold its subsidiary Fluxys & Co. to French energy giant GDF Suez SA (GSZ.FR) for 70 million euros.

MAIN FACTS:

-The company commercialized border-to-border transmission capacity in the Zeebrugge-Blaregnies (Troll) and Zeebrugge-Zelzate/Eynatten (VTN) pipelines.

-Fluxys & Co also held a 49% stake in the Norwegian partnership Patrederiet BW Gas Fluxys DA, which owns the LNG carrier BW GDF SUEZ Boston.

-After the acquisition, Fluxys Belgium integrated the transmission activities in the Troll and VTN pipelines into its own infrastructure portfolio.

-As a result, the stake in the LNG carrier was Fluxys & Co's only remaining asset.

-LNG shipping is not a core business of Fluxys Belgium

Several Gazprom Clients in Europe Request Gas Price Revision

MOSCOW--Russia's OAO Gazprom (GAZP.RS) has received requests this year from several European clients, including GDF Suez SA (GSZ.FR), to revise gas prices, a Gazprom executive said Thursday.
"This is normal customer behavior," said Sergei Chelpanov, deputy head of Gazprom's export arm. "I can't say what the outcome will be."
Mr. Chelpanov was speaking on a conference call after the announcement of the company's third-quarter results, which saw net profit double to 305 billion Russian rubles ($10 billion) compared with the same period last year on the back of a weaker ruble.
Gazprom has revised contracts for many clients in Europe, costing the company RUB133 billion in retroactive payments so far this year. Gazprom expects to recover about RUB30 billion of this in profit tax rebates from the government in 2013.
Gazprom's capital expenditures in 2012 will hit $44 billion, $4 billion higher than forecast, Gazprom Chief Financial Officer Andrei Kruglov said on the call.
Mr. Kruglov said earnings before interest, taxes, depreciation and amortization for 2012 would be in the range between $54 billion and $55 billion, while revenue would be $150 billion, according to preliminary figures.
Gazprom will keep its 2012 dividend at 25% of its net income, calculated according to Russian Accounting Standards, Mr. Kruglov said.

GDF Suez SA (GSZ.FR) Wednesday said the Norwegian ministry of petroleum and energy awarded shares in four exploration licences to the group, within the « Awards in Predefined Areas (APA) round » 2012.
MAIN FACTS:
- In total, 40 companies were awarded 51 new licences.
- Within the four licences attributed to GDF Suez, two are located in the North Sea and two in the Norwegian Sea.
- GDF Suez is present in Norway since 2001.
- GDF Suez E&P Norge is the operator of the Gjøa oil and gas field since January 2011 and is a partner in producing Fram, Njord, Snøhvit, Vega South fields as well as the Gudrun and Hyme fields, currently under development.
- Norway represented 39% of production and 42% of proven and probable reserves of GDF Suez at the end of 2011.

BRUSSELS--GDF Suez SA (GSZ.FR) unit Electrabel said the Belgian nuclear safety regulator (AFCN) has asked for additional information about its nuclear power reactors Doel 3 and Tihange 2, in a statement Tuesday.
"The AFCN sees no elements that would have to lead to a permanent shutdown of the nuclear power plants but has asked for additional information from Electrabel," the statement said. "Electrabel takes note of this advice and will take the necessary actions on a short notice."
It is now up to the regulator to provide its advice to the Belgian government. Electrabel said "the safety of its installation is an absolute priority, with respect for the population and the environment."

Norway May Cut Gas Transport Costs to Support Marginal Fields Development

OSLO--Norway's Ministry of Petroleum and Energy proposed Tuesday to lower the transport costs in its gas pipeline system, to encourage the development of marginal natural gas fields.
"The resources that are easiest and least costly to develop and have the shortest distance to the markets have to a large extent been developed," the ministry said. "The remaining resources are expected to be more marginal."
"The proposal to lower transport costs for new gas volumes will lay the ground for more exploration, the development of more discoveries and further measures [to increase production] in existing fields," said Minister of Petroleum and Energy Ola Borten Moe.
The proposal comes only a week after Norwegian oil giant Statoil ASA (STO) delivered its plan for the 25 billion kroner ($4.5 billion) Polarled pipeline that will transport gas across the Arctic circle to the mainland from the NOK32 billion Aasta Hansteen gas field in the Norwegian Sea. The field was seen as marginal when it was discovered in 1997, and requires new and costly technology to be developed. Aasta Hansteen contains resources equal to about half of Norway's total gas output in 2012.
Lower infrastructure costs are "more important for a mature shelf where more projects are economically less robust," the ministry said. Lower tariffs could be "essential" for the development of marginal fields, it added.
The proposal would lower tariffs significantly for the transport and treatment of additional gas volumes on the Norwegian continental shelf, according to the ministry.
Norway's around 8,000 kilometers of pipeline infrastructure is owned by the Gassled partnership, operated by state-owned Gassco. Among the owners are state-owned Petoro AS with a 45.79% stake, Solveig Gas Norway AS with a 24.7% stake, Statoil with a 5% stake and ConocoPhillips (COP) with a 1.68% stake. DONG Energy A/S, GDF Suez SA (GSZ.FR) and RWE AG (RWEOY) hold minor stakes.
Lower Gassled tariffs would encourage more investment into less robust fields, the ministry said. The country has a target to produce as much as possible from the profitable resources on its continental shelf, and the cost of exporting more gas through the current infrastructure is low.
"Through this change that I propose, we will take better care of our resources and create more value from the Norwegian shelf in a long-term perspective," said Mr. Moe.
Companies and other parties must give their comments on the proposal in a public hearing by March 15.

GDF Suez to Sell Stake in Slovakia's SPP AS

PARIS--French power group GDF Suez SA (GSZ.FR) is to sell its stake in Slovak gas group Slovensky Plynarensky Priemysel AS to Czech company Energeticky a Prumyslovy Holding for 1.3 billion euros ($1.74 billion), following formal approval in late December from the Slovak government, a person close to the deal said Tuesday.
GDF Suez owns 24.5% in SPP and has been seeking to sell the stake for several months now as part of a plan to sell as much as EUR5 billion worth of assets by the end of 2012. Before the divestiture of the SPP stake, the group had sold as much as EUR3.9 billion worth of assets last year.
The group has been implementing a plan to restore profitability in battered European energy markets and find new growth in emerging countries, as the economic crisis in Europe is threatening its margins and weighing on its debt.
EPH is a Czech holding company that is increasing focused on central European energy assets. EPH is also in the running for RWE's Czech natural gas pipeline, which if they get it, would give the privately-held company control over the pipeline between Ukraine and Germany.

PARIS--French power group GDF Suez SA (GSZ.FR) is currently considering shutting down additional power plants in Europe due to falling demand and lower profitability, French business daily Les Echos reports Tuesday, citing internal sources.
The group said late last year that it would shut five gas-fired plants in Belgium, the Netherlands and Hungary due to their lower profitability in the face of intensifying competition from coal-fired plants, which are benefiting from the drop in imported U.S. coal prices, the daily says.
The gas-fired plant in Cartagena in Spain could be one of the additional plants to be shut down, Les Echos says.
A spokesman for GDF Suez declined to comment.

Le géant de l'énergie GDF Suez (GSZ.FR) veut réduire de 5,4 gigawatts, ou environ 10%, ses capacités de production d'électricité en Europe dans les mois qui viennent afin de s'adapter à la faiblesse de la demande, rapporte le journal Les Echos mardi.



Le groupe vise ainsi une réduction de 15% des coûts de fonctionnement de son parc thermique et une économie de 10 millions d'euros par gigawatt de capacité installée, indique le quotidien sans préciser ses sources.



GDF Suez avait déjà réduit ses capacités de 10% entre 2009 et la mi-2012, rappelle le quotidien. Ces réductions de capacités toucheront essentiellement les centrales à gaz, dont le taux d'utilisation en Europe est tombé de 42% en 2011 à 33% aujourd'hui, selon le journal.

PARIS--GDF Suez SA (GSZ.FR) is entering "a stable period," Chief Executive Gerard Mestrallet said Friday, referring to the utility's recent court victory in a protracted battle with the government over natural gas rates.
France's highest administrative court late last year cancelled the government's two-year-old freeze on household rates, paving the way for higher prices.
The ruling means the utility can now use a new method for calculating tariffs that will see rates change every month depending on various factors, Mr. Mestrallet said during a press conference.
He said it was excellent news for both the company and its customers and will put an end to litigation.
GDF Suez, which has been struggling in Europe's weak economic environment, is sticking to its goals and expects growth in the medium term, said Mr. Mestrallet, who is also chairman.
In their battle with the government, GDF Suez and other gas distributors argued the tariffs, regulated in France, didn't cover their supply costs.

Norway's 2012 Petroleum Output Rises 2% Despite Huge Oil Drop

OSLO--Norway's total petroleum output rose 2% in 2012 as higher gas production offset the continued decline in oil output, data from the Norwegian Petroleum Directorate showed Friday.
The total petroleum output, which includes oil, gas, condensates and natural gas liquids, was 3.86 million barrels of oil equivalent per day in 2012. The directorate added it expects production in 2013 to fall to 3.67 million barrels of oil equivalent per day, or 5%, before rebounding to the 2012 level in the following years.
Despite record-high oil sector investments, Norway's crude oil output fell 8.5% on the year to 1.53 million barrels per day in 2012, hampered by technical problems and delays at several fields. Norway's crude oil production has more than halved since its peak in 2000 at 3.12 million bpd.
Gas output, on the other hand, increased 12% to 1.94 million bpd, the directorate said.
Norway's total petroleum production peaked in 2004 at 4.54 million barrels of oil equivalent per day. Total production fell 5% in 2011 and 4% in 2010.
Bente Nyland, head of the Norwegian Petroleum Directorate, was, however, optimistic about future prospects: "A stable, high oil price combined with huge discoveries gives reason for optimism," adding that the oil price was an average $112 a barrel in 2012. "This makes the Norwegian shelf and new developments profitable."
Nevertheless, several fields have been hampered by technical problems and maintenance in 2012, including the BP Plc operated Valhall, Hod, Ula and Tambar fields, the Dong Energy AS operated Oselvar field, the GDF Suez operated Gjoa, and Statoil ASA's Njord, Asgard and Troll fields.
In addition, production start-up was delayed at the BP-operated Skarv field, which started pumping in December, and at the Talisman Energy Inc. operated Yme field, after cracks were discovered in its structure.

AREVA, EDF, GDF SUEZ, ALSTOM: le gouvernement lance un appel d'offres pour deux parcs éoliens en mer

(AOF) - La ministre de l'Energie Delphine Batho a lancé un appel d'offres pour deux grands parcs éoliens en mer au large du Tréport (Seine-Maritime) et des îles d'Yeu et de Noirmoutier (Vendée), pour une capacité installée totale de 1 000 mégawatts (MW). Ce nouvel appel d'offres doit permettre de « consolider le développement de la filière », en érigeant 200 éoliennes au large des côtes françaises, et de « sécuriser les 10 000 emplois industriels directs attendus par le développement de cette filière », a déclaré la ministre devant le Conseil économique, social et environnemental.


Les candidats pourront déposer leurs dossiers entre mars et septembre 2013, pour une décision du gouvernement attendue début 2014. La construction et la mise en service des deux parcs sont prévues à l'horizon 2021-2023.

Prix du gaz: nouveaux revers en vue pour le gouvernement au Conseil d'Etat

Le Conseil d'Etat a examiné mercredi une série de recours concernant les tarifs du gaz, émanant tant de GDF Suez que de concurrents du géant gazier, des procédures qui risquent d'aboutir à de nouveaux revers pour le gouvernement, selon des sources concordantes.



La plus haute juridiction administrative du pays a examiné deux requêtes émanant de l'Anode (Association nationale des opérateurs détaillants en énergie, qui regroupe des concurrents de GDF Suez), contre un arrêté du 27 juin 2011 et un autre datant du 26 septembre 2012, a-t-on appris auprès du Conseil.



Le premier de ces arrêtés, pris par l'ancien gouvernement Fillon, avait gelé les prix du gaz naturel pour les particuliers au troisième trimestre 2011, et celui de septembre 2012, pris par le gouvernement Ayrault, avait accordé à GDF Suez une hausse de 2%, inférieure au niveau jugé nécessaire par le gendarme du secteur, la Commission de régulation de l'énergie (la CRE).



L'Anode avait déjà fait invalider cet arrêté de septembre 2012 par le Conseil d'Etat via une procédure en référé, en attendant un jugement sur le fond.



Le Conseil s'est aussi penché sur un recours de GDF Suez contre un arrêté du 18 juillet 2012, également attaqué par l'Uprigaz (une organisation professionnelle dont fait partie l'opérateur historique). Cet arrêté avait là encore augmenté le prix du gaz de 2%.



Le Conseil d'Etat ne rendra sa décision que dans deux ou trois semaines, mais il se prépare a priori à infliger de nouveaux revers au gouvernement.



En effet, le rapporteur public, dont les conclusions sont généralement suivies par le Conseil, a recommandé l'annulation des arrêtés en question, selon une source au fait des procédures.



L'instance a déjà infligé plusieurs camouflets à l'actuel gouvernement et au précédent en matière de tarifs d'énergie. Elle avait notamment invalidé en novembre la limitation à 2% de la hausse des tarifs du gaz au quatrième trimestre 2012, tout comme elle avait jugé illégal le gel de tarif que la droite avait voulu appliquer fin 2011, en pleine précampagne présidentielle.



Ces décisions ont notamment obligé le gouvernement à augmenter de 2,4% le gaz au premier janvier de cette année. Et GDF Suez, qui a déjà obtenu de pouvoir facturer à ses clients le manque à gagner lié au gel de tarifs fin 2011, pourrait obtenir un deuxième rattrapage lié aux hausses limitées de 2012. Le groupe avait chiffré en décembre son préjudice depuis juillet à 185 millions d'euros.



Pour sortir de ces bras de fer quasi-permanents autour des prix du gaz, la ministre de l'Energie Delphine Batho a présenté début décembre les grandes lignes d'une réforme du mécanisme de fixation des tarifs du gaz, censée réduire le risque de recours judiciaires.



La formule de calcul des tarifs sera désormais établie tous les ans, le 1er juillet, et les tarifs réglementés seront modifiés chaque mois, et non plus chaque trimestre, ce qui est censé éviter des variations importantes. L'Etat conservera cependant la main et pourra suspendre l'application de la formule en cas de hausse excessive. Cette réforme devrait entrer en vigueur cet été.
