THE GO-AHEAD GROUP PLC

("GO-AHEAD" or " THE GROUP")

APPOINTMENT OF NON-EXECUTIVE DIRECTOR

Go-Ahead is pleased to announce the appointment of David Blackwood as an Independent Non-Executive Director and Senior Independent Director Designate with effect from 1 January 2022. This appointment is made following a thorough external recruitment process and reflects the Board's succession planning, with Adrian Ewer, the current Senior Independent Director, reaching a nine year term in April 2022.

Upon appointment, David will become a member of the Audit, Remuneration and Nomination Committees and it is anticipated that he will become Senior Independent Director following the General Meeting which will take place after the publication of the Annual Report and Accounts 2021.

David Blackwood has extensive business and listed company experience, notably in Finance, Audit and Risk. He is currently Non-Executive Chair of Smiths News plc, where he is also Chair of the Nomination Committee and a member of the Remuneration Committee. He is the Deputy Chairman, Audit Committee Chair and Senior Independent Director of FTSE SmallCap Esken Limited (previously Stobart Group Limited) and member of the Remuneration and Nomination Committees.

David has previously been Audit Committee Chair and Senior Independent Director of Scapa plc and Dignity plc, where he also served on the Nomination and Remuneration Committees in respect of both. David was formerly Chief Financial Officer of Synthomer plc, prior to which he was Group Treasurer and Group Financial Controller at Imperial Chemical Industries plc (ICI). David has previously served as a member of the Cabinet Office Audit and Risk Committee and on the Board for Actuarial Standards. He is a member of the Institute of Chartered Accountants in England and Wales (ICAEW) and a Fellow of the Association of Corporate Treasurers (ACT).

Clare Hollingsworth, The Go-Ahead Group plc Chair, said:

"We are delighted to welcome David to the Board of Go-Ahead. He brings a breadth of financial, City and international experience, in addition to a commercial mindset. With the recent announcement of Dominic Lavelle as Independent Non-Executive Director and Audit Committee Chair Designate to the Board from 1 January 2022, David's appointment will even further enrich the collective expertise of the Board."

David Blackwood added:

"I am delighted to be joining Go-Ahead. Public transport has a major role to play in supporting society and in delivering the UK's long term sustainability targets. Go-Ahead is a well established successful business in the sector, with a leading and well developed sustainability agenda, and I am very much looking forward to being involved"
