Forms 8.3 and 8.5 are disclosure forms required by the Takeover Panel to clarify material interests in the share register of a UK-listed company that is in a bid situation. ... Form 8.3 should be completed by the shareholder to clarify what they have bought or sold and the resultant size of their stake.

Twitter buzz is forming where Justin Waite, Chris Akers and others are getting excited -

I knew this company was big but the link in the above tweet makes it clear where GFIN exist on a global level; next to Rovio, Activision, Valve and Alibaba.

Let the games begin!

I've been thinking about this, JC must have had some approaches and is now confident that US companies will pay a multiple of the current market cap so why soldier away on Aim when you can get 10p or 20p a share from a predator. I've no idea how to value GFIN but its definitely a multiple of the current price.

Media coverage in reputable papers. This is going to attract some strong interest over the coming week. Expecting to see those 'inside-trading' chunky 10, 20, 30, 50, 100K-500K plus buyers showing up this morning. I have a feeling their next news update is going to set the rockets off. Watch this space.

....and there's the breakout.

I did say to you that there's an RNS on Monday for results that is supposed to be massive......and looking at the share price and volume, I wouldnt be surprised if a big-wig like BT Sports bids for them (they are already partnered so would make sense).

Big afternoon coming.

you may be correct, but would seem to fly in the face of the fca takeover mandate.
hope whoever comes in is willing to pay a decent premium on current price.

why is it too early?
the board look at the valuation and then look at competitors like Guild and it seems clear they are undervalued.
put out an rns of this nature and tell the world you are open to offers and do it on a friday so the analysts, press and market gets time to consider.
heyy presto the shares touch 5p early next week and your value is closer to what you expect.
get some interest at maybe 6 or 7p and the board can say 'no interest'
hmmmm

I cannot help thinking that they have started this process a bit too early.

Would it not have been a better idea to actual reach profitability, which would have been followed by a (probable) corresponding uplift in valuation and then launch a strategic review/sales process?

At least then they would be negotiating from position of greater strength.

Following this announcement, the Company is now considered to be in an "offer period" as defined in the Code and, amongst other provisions, the dealing disclosure requirements set out below will apply.

About to break out with 100, 200, 300, 500K trades. Volume is on fire.

Over 30% immediately on open and without an RNS. One hour later they drop a banging RNS announcing they are in takeover talks. Some massive inside trading going on.

MMs are now printing sells/buys from an hour ago - I guess they are tricking investors into selling and scooping up some cheapies ahead of the inevitable rise.

The Board has concluded that such a review would benefit from taking advantage of the dispensations available from certain provisions of the City Code on Takeover & Mergers ("Code") in commencing a "formal sales process" (as described in the Code) and has appointed finnCap Limited ("finnCap") as its financial adviser with regard to this process. Gfinity is not currently in discussions with, or is in receipt of an approach from, any potential offeror as at the date of this announcement. Parties with an interest in participating in the process should contact finnCap on the contact details set out below.

The market has misvalued this business, it is worth at least £100m imho and that is 13p. This is probably a result of Guild coming at such a big price. They may even buy it but I think it will be one of the US Giants that buy this, £100m is pocket change to them.
