13/10/2018 11:04 | Here's a standard cross default clause which is very likely present in the Outrider loan notes Cross Default 27.9 Any Financial Indebtedness of any member of the Group is not paid when due nor within any originally applicable grace period. 27.10 Any Financial Indebtedness of any member of the Group is declared to be or otherwise becomes due and payable prior to its specified maturity as a result of an event of default (however described). 27.11 Any commitment for any Financial Indebtedness of any member of the Group is cancelled or suspended by a creditor of any member of the Group as a result of an event of default (however described). 27.12 Any creditor of any member of the Group becomes entitled to declare any Financial Indebtedness of any member of the Group due and payable prior to its specified maturity as a result of an event of default (however described). Clearly if present in 2020 loan notes the default on the YA debt back on what looks like 12th September would have triggered this. It looks like Outrider and the other loan note holders (which include Nicandros and Zaza) moved to take the Block 12 assets. Frontera applied and were granted an injunction to prevent this. Effectively a stay of execution. I suspect the grounds on which this injunction was granted was based on FRR reaching, or about to reach, a resolution with YA. As we have little to go on apart from trusting the big mans word and that the Nomad has checked the facts surrounding Majors, YA, Arbitration and now Outrider. Having met the Nomad I'm sure he's got a few more grey hairs and spent a few late nights ensuring what FRR published is accurate and has substance to back the claim. As I posted earlier I think outrider blindsided FRR and to ensure that the market got the news (not the usual crew to announce it on Twitter and BB's) ZaZa issued this RNS and most expected the share price to drop to new lows. Its held up rather well. I for one think FRR are now aligned fully with SH's and are trying to protect their and our interests and if this means court action or taking out injunctions then i'm all for it. Are Outrider trying to force FRR hand and in effect take them down and forcing a default and pick up the company for a song. The only credible reason is that a deal of sorts is imminent and 30Mil will be chicken feed when they could have the lot. Hence, this action remember Mr Hope will have the inside track being a director so he will know what is happening with which majors and approx. timelines. So is he trying now for the lot as the 30Mil will be a consolation prize in 2020. No ethics in business where dog eats dog but I hope ZaZa has a bigger bite | mick1909 | |

12/10/2018 15:33 | @fozzy the RNS says no further progress made with Majors. It says "with a view to progressing possible transactions". A possible transaction is something that they are hoping to do. "with a view" means that's what they are trying to do. It's the same as last time. The RNS even starts by saying its the same as last time bar the terrible news that Outrider are now after them! The court could rule to lift the injunction in days. | loglorry1 |
