"This just gone to the Nomads

'Following today’s RNS from Europa on the Final Results, I have some questions on the Remuneration Committee. In the period just reported, Mr. Oddie was paid £395k during the 12 month period, despite resigning as CEO halfway through the period. This was £92k more than his 2022 remuneration.

According to the Company’s AIM Rule 26 disclosure, Simon Oddie is chairman of the RC. Therefore the CEO was a beneficiary of the 2022 RC decisions and is now returning the favour to the new executive directors as chair of the RC. That this cosy arrangement is working well for the directors is evident from the almost 100% increase in overall board remuneration from 2022 to 2023.

I would appreciate your views on how this arrangement is beneficial for shareholders and more importantly, how it can be in line with Corporate Governance policies.'






"Indeed always good to see director share buys, but come on, look at the 2022 board of directors total remuneration versus last year - almost doubled to £885 total. Simon Oddie still pulled down over £300k in the year to end July. It looks like SO got paid for his notice period AND he is still a director. Remuneration Committee still chaired by SO. No way is that fit for purpose. Alastair Stewart appears to be on another £200k, despite there being no new ventures of consequence since the doomed Serenity well. They are treating the shareholders with utter contempt. I will complain formally to the Nomads about their Corporate Governance, but of course this is AIM and shareholders are firmly at the bottom of the pecking order."

WA is now an independent shareholder and I think if we can garner enough support I can pitch a plan to him. Something has to change here, as it has truly become a vessel for the board to fill their pockets, rather than reward shareholders for their support. We have time now to come up with a plan to present to the AGM along with the votes to change the management. Last chance saloon."

PB was one of the original founders along with WA.
From memory SO purchased 40k’s worth in the 1.8p placing for Serenity.
Worth double checking from the original RNS.

WA also purchased another 150k’s worth not so long ago after leaving the board at prices up to 1.4p-1.5p

The performance of the BOD is a disgrace and the salaries they are drawing is totally undeserved and disgusting . Some of that money could have been used for a share buy back Something has to be done here to help genuine shareholders who are massively under water . There definitely needs to be shareholder action . Enough is enough . How many shares has Oddie bought ?

Plenty of blood boiling over on lse - and rightly so. I am praying for a takeover or a success in Ireland.
The Morocco write off put us into loss this year - another example of building a portfolio - and then we had Serenity!
And I didn’t appreciate that Oddie was chair of the remuneration committee - says it all really.
