Can anyone shed light on the "outside of the United States ".

Could this have any relevance to our imminent (hopefully) Eastman/ Taminco licence

My understanding is its a done deal, but the wording is in case the world implodes or something between now and Friday. Clearly Livingbridge have taken the lions share, leaving just £600K to place, which will already have a home.
Anyway, not exactly long to wait to find out!

Does this mean its not yet a done deal at 10.25p ? Not seen a clause like that in a placing rns from other companies I have owned shares in. Would Livingbridge get a refund if the rest were not placed at 10.25p ?

shore capital comment from today

EDEN RESEARCH+ (EDEN, House stock at 11.55p) Placing to raise £2.6m. Eden Research (‘Eden’) has announced that it has raised £2.6 million, before expenses, through a placing with new and existing institutional shareholders by Shore Capital of 25.3m new ordinary shares at a price of 10.25p.

The intended use of the proceeds is to allow the company to accelerate its strategy without the constraints of funding through: the registering of new products and increasing the global reach of existing Eden products, commencing new R&D trials in both plant protection products and personal care applications, pursuing commercialisation of animal health products outside of the United States and expanding business and brand development activities.

The new shares will represent 13.7% of the company’s enlarged share capital with expected admission to the AIM market from 8am on 1st April 2016. We note that as part of their placing participation of 19.5m shares (amounting to approximately a £2m investment and representing 10.6% of the enlarged share capital), Livingbridge VC LLP has been granted the right to appoint a director to the board of Eden for as long as it retains a minimum interest of 5% of the issued share capital of the company.

We believe today’s announcement is positive news for Eden with the placing marking a further key milestone in the company’s development following on from the recent progress made in terms of regulatory approvals for the product 3AEY and the move into commercialisation. The new capital, as stated earlier, allows the company to now invest at an accelerated pace to drive management’s strategy forward to enable it to create value for shareholders. Furthermore, from an investment perspective, we believe the placing should provide investors with comfort that Eden is now well-funded for at least the short to medium term.

Following the placing, we leave our operational forecasts unchanged at this stage ahead of the preliminary results announcement when we expect to hear more on management's strategy and capital deployment plans. House Stock.

SK The problem with biased posters with hidden addendas is that whatever news is dished up no matter how postive it is they twist it The thing about ostriches is they have a very powerful kick and can boot some of this into the long grass as Linvngbridge have shown Why do you think Livingbridge have put in £2m You cant accuse them of being friends and family,dodgy share dealings or any dirt?

Livingbridge is an independent private equity investor and our senior team have been working together for well over ten years.
Since 1995 we have invested in more than 100 businesses, and currently have £1.5bn funds under management (as at 31 December 2015).

You would think with that sort of experience they would have done proper DD.

They seem to think the companies they invest in are growth companies.. don't they realise this is going to 0 pence. when they say Senior I assume they're really old and out of touch..

The placing could either be done at a lower price or for a lesser amount. It is not clear from the RNS whether the whole thing is conditional ie Livingbridge have said our money is conditional on you raising the rest or whether they will go with their bit anyway and the rest gets raised if they can.

If the bucket shops can flip in the next 2 days then they will take up the placing if they can't then there will be a shortfall. Either way anyone buying above the placing price is a mug.

Yes I'm sure you would not describe a strategic investment by the well respected Livingbridge with member on the Board as a deeply discounted bucket shop placing.

Another company that does it's due diligence and completely misses all the issues raised by TW.

Q. Not surprising with delays in authorisation and getting product in the market. sstill unproven that there is sufficent demand at the coalface and income streams I am much heartened by the £2m injection by Livingbridge a well respceted VC company with an interesting portfolio and known for their due diligence If Eden fiancial postion was so perilous they should have been able to negotaite a placing at sub 10P

SKDo you know how a Placing such as this actually works ? I note the preamble is that Eden "has raised" the £2.6m but it is not underwritten albeit Shore will endeavour to get the shares away at full price 10.25p. Does that mean they have no guarantee of getting the full sums "raised" ? Regards Q12

Well a nice bit of Jam today - a discounted placing that is not a done deal and could end up being done cheaper if the share price falls too much.

Smart move to sell when you did Q12 the only thing that was not predictable was the timing.

I did think they would hold out until they had some news to ramp the placing on. Clearly no good ramping news on the horizon.

Interesting that they need to raise so much, shows how little faith they have in those wildly optimistic revenue predictions. I reckon Net Current Assets position was quite a bit worse than predicted too.

Why do people think TW has nothing better to do than research Eden for them? Hopefully he will comment on todays placing in a bearcast later. Will anybody listen? Probably not.

SK Strange indeed that you feel market research in his own backyard as if this carries little importance to the success or failure of the company .you say he ha sbetterthings to do but sends an inordiante amount of time chasing Eden You really do change your comments with the windAs Nick has pointed out alitle early and unlikely to be adda lot of sales to other problems facing Greek wine growers face
