Does anyone have any answers to my post about Eden's US distributor Thallo Eco?

For better or for worse I have remained fascinated with both 3DM and Eden Research, and I have more research that I would like to share with everyone.

Please take note that I want to share this research with everyone here purely in the interests of broadening the debate and asking legitimate questions about companies widely discussed here; otherwise, I have no agenda – or ‘axe to grind’ - whatsoever.

I have considered buying shares in Eden, but as a serious investor, I have carried out my due diligence and found things about which I am concerned – things which I have chosen to share here. I honestly hope there are good answers to these perfectly legitimate concerns and I look forward to receiving constructive comments.

This piece of research focuses on Thallo Eco Products Corporation. On 30th September 2004, Eden Research announced in its interim results that Thallo Eco would become the Californian distribution partner, with an option at any time to extend to the whole of the USA.

30th September, 2004

“The Company has now sourced a manufacturer for the supply of terpene formulations to service US and European markets. In addition, it has signed heads of agreements with Thallo Eco Products Corporation in the USA, and is in advanced negotiations with other global companies to market and distribute its products. Furthermore, Eden expects to appoint a new global project manager who will manage the Company's international research and development programme.”


29th October, 2004

“In the USA, Thallo, which has been established by people with the relevant experience in commerce and industry, has been appointed as a replacement for Arista Biologics Inc as Eden's Californian distribution partner for an immediate licence fee of US$250,000, with a further $250,000 to be paid on 1 April 2005. The Company will receive a royalty of 20% of the net margin sold in the territory each year, totalling a minimum targeted $15 million over 10 years.

Thallo also has the option at any time to extend the territory from California to the whole of the USA for non-refundable licence fees of US$250,000 and a further US$750,000 on the third anniversary of this agreement. Upon extending the territory, the minimum royalties shall be increased by the addition of the aggregate sum of US$10 million payable over the remainder of the 10 years of the Agreement. After 10 years, and if minimum royalties have been met, Thallo has the right to extend the term by a further five years with the same minimum royalty requirements.”

So, Who Is Behind Thallo Eco Products Corp?

Thallo Eco has only two directors, Bill Juhasz and his wife. The company was formed on 2nd August, 2004, just a few weeks before it was announced by Eden that heads of agreements had been signed.

Who Is Bill Juhasz?

Bill Juhasz was the third largest shareholder, and the company secretary of Arista Biologics Inc.

Thallo Is Not Independent Then?

No, Thallo is not independent. Thallo is a vehicle that appears to be run by a long-time Eden associate. Might we assume that Thallo is essentially Arista, minus Reed Smith.

Then Why Was Thallo Created?

Interesting question! One would assume the questions about Eden that emerged last year have prompted Eden to form a new vehicle through which to distribute its products. Eden owned 20% of Arista, and Reed Smith owned 38%. It throws up the idea that after Reed Smith emerged as a whistleblower on Eden and Arista last summer that Thallo was hastily created as an alternative distributor.

But What Was Wrong With Arista Biologics?

Arista had not sold a single product of Eden’s – not a very good distributor! Furthermore Arista had never filed accounts in California, its home state. This could be a red herring, according to Arista’s legal team it was not in breach of any regulations.

So It Was Better To Start Afresh With A New Distributor?

It might have been better if Thallo were actually a distributor. To date the two directors of Thallo, Bill Juhasz and his wife, do not hold the CPA licence that is necessary to be able to distribute pesticide products.

Are You Sure They Need A PCA Licence?

“In California, any person who offers a recommendation on any agricultural use of a pest control product or technique, presents himself/herself as an authority on any agricultural use, or solicits services or sales for any agricultural pest control tool is a pest control adviser (PCA).

Agricultural use includes use in parks, golf courses, waterways, forests, roadsides, cemeteries and many other situations as well as the traditional agricultural crops. According to California law, all PCAs must be licensed by the DPR.”

Hang On, Neither Bill Juhasz Nor His Wife Has A PCA Licence!

Correct. Therefore Thallo Eco has been dormant since its inception in August 2004. The people behind Thallo have had five months to get a licence, but they still do not have one!

But Eden Said That Thallo “has been established by people with the relevant experience in commerce and industry”!

Neither Bill Juhasz nor his wife has the required PCA licence, which would make them people with the relevant experience in commerce and industry. Bill Juhasz was the company secretary and third largest shareholder of Arista Biologics though, um if that counts, does it? Ok, no then.

Wait A Minute, Thallo Has Paid Eden $250,000 For Its Licence, And Will Pay A Further $250,000 On 1st April 2005

This is not the way that I would do business. Thallo is no better off now than when it was formed in August 2004. In fact, Thallo is $250,000 worse off!
So Who Has Pumped The Cash In To Thallo For It To Pay Eden?

No idea, that remains a mystery.

Oh and remember that Eden and 3DM came from the same Company, namely AP3, and then were spin off in seperate directions.
They even have lent staff between the Companies in the past.
According to the Eden website, Ken Brooks is Deputy Chairman in Eden, Robins Sims is Company Secretary for both Companies, and Tony Baldry is a Director in both Companies (although not specifically mentioned in his bio here):

There most certainly is a very strong connection between the two. Closer than "cousins" imo.

Both companies aquired their main asset from the same US source who became major shareholder in both
C Livingstone Raper is company spokesman for both
Tony Baldry Mp sits on board of Eden and 3DM(Europe) Ltd
Both firms have the same institutional shareholder
Both firms have a connection with the mysterious Battlebridge
Both use Oxford Corporate Services
Both have been promoted by M Walters
Both have same adviser JM Finn
Until recently both had same auditor
Both have same business model of licencing deals with related parties (one in plastics one in herbal remedies)
