13/12/2018 07:07 | A 'lock-in' is more akin to a conditional sale agreement. Typically the intention to sell shares has to be notified to the company several days before the transaction and the company has to agree for it to go ahead. Individuals have a wider range of opt-out clauses than a company. The shares also have to be sold through the company's broker to effect an orderly market (although the broker may use third party brokerages if they wish). Sometimes the shares themselves carry over the lock-in agreement so anyone who buys them is subject to the same conditions. In summary a lock-in prevents the shareholder from selling on the open market to prevent a disorderly market event. I think! | carcosa | |
