11/7/2002 00:09 | Oaks, Have now found the data that was missing. Despite past tax losses, Beeson's have assumed a 37% tax rate for 2003 and 2004. They have then taken off the 6.5% dividend to the convertible participating shares. (Danky includes these as part of financing/share capital; no wonder I missed them) Beeson's report states: 'We have excluded from net debt the US$214m of 6.5% convertible participating shares on the Group's balance sheet including these as part of equity. These shares are entitled to a 6.5% dividend paid in additional participating shares until 2004 and then is cash. The shares are convertible at a conversion price of $3.11 (currently 214p), implying the issue of 80m shares, equivalent to 32% of the issued share capital. On or after December 2003 through to December 2010, the Group has the option at any time to redeem the shares in whole or in part for cash at the greater of the redemption price per share or the value of the underlying shares (or alternatively by conversion into shares). If not redeemed before, the Group is obliged to redeem the shares in December 2010.' 10/7/2002 20:20 | one of the guys on the yahoo board has spoken to the vice president of danky. He was adament that the share price drop was nothing to do with danky. Nothing has changed from what was highlighted in the last quarterly results. He particulary stated that last time they issued an announcement was when it moved during very high volume. This is the case this time - low volume here is his text : "That's what Sanjay said to me,,,that the volume wasn't abnormally high. I think it was that you'd know something real serious leaked out. He told me more than once in our conversation that this had NOTHING to do with DANKY" | easykill | |
