NO NEW MONEY REQUIRED, we were told the reason for the share change, was not to raise money, but to get the company in order going foreward.

NEWSFLASH FROM TODAYS AGM, First hand by me, All great news for shareholders, List of reasons, 1, we were told they do not need new money, 2, most of the payments from the 35 sold so far, is due over the next two years, 3, those payments are in $ US , but the $AUS has fallen like a stone so, cash is 40% more. 5, cash positive this year. Seen the new camera, on my own eye, its great.!!!, and am told it will sell like hot cakes, [also to vets.] back with more soon.

Here's a bit of history for you:

Notice of Annual General Meeting

......Special business

At the AGM a resolution will be proposed to effect a capital reorganisation on
the following basis:

(a) each of the issued ordinary shares of 5p each will be subdivided and
redesignated into one new ordinary share of 1p each ('New Ordinary Share') and
one deferred share of 4p each; and

(b) each of the authorised and unissued ordinary shares of 5p each will be
redesignated into five New Ordinary Shares

Application will be made for 95,319,148 New Ordinary Shares to be admitted to
the AIM Market and dealings are expected to commence on 8 February 2008.

Following the capital reorganisation, the Company will have 95,319,148 New
Ordinary Shares and 95,319,148 deferred shares of 4 p each in issue.


So around this time last year, the company proposed subdividing its shares from 5p par to 1p par.

At the annual general meeting held earlier today, all resolutions were duly
passed, including the resolution to effect a capital reorganization....



Then only two weeks after passing the resolution they placed significant volumes of new shares below the previous 5p par value:

Placing of 73,846,700 Ordinary Shares at 3.25 pence per share......



I'm not saying they will definitely place significant volumes of new stock below the latest new par value of 1p within two weeks of the AGM but there does appear to be a precedent, doesn't there?

How on earth can somebody report Dell, he stands out like a beacon
for sensible postings, it's all the pump and dumpers that need reporting
if you ask me !

Report me as well then, i think this stock has a lot to do to justify
it's shareprice, i dont see it as a screaming buy, it only has 2 mm's
for a start and one of them Wins took a huge chunk of stock substantially
below the market price and they are very clever at pushing it onto others !

Fact 3 new distributors in the USA

Fact....New world beating eye corrective laser machine.

Fact...New Retinol camera due to be launched any day now.

Fact....New treatment for Presbyopia in final stages that could according to the company add significant revenues.

Fact....Mkt capitalisation just 0.5million

Fact....only 169 million shares in issue.

Fact...in 2004 share price was 85p

Fact....sp is a screaming buy at 0.55p

"AGM monday. Lets hope for good news. Remember rampers and de-rampers can posticulate all they like but the shareholders will vote for what is good for the shareholders.Which in turn should be good for us".

Good news would be nice, as long as it's not just a little sugar to sweeten a bitter pill.
FWIW, you seem a bit deluded about the options available to those voting at the AGM. When a company proposes to devalue its stock to raise new equity at lower prices, the "No" vote is usually a vote for the company running out of money. Probably, not a good idea, eh? Therefore, the "Yes" vote is simply the lesser of two evils, rather than a good thing. Hope that helps your understanding.

With the three new distributors from the convention in November time, the new appointment of top sales staff (already with proven track records in this field)there could well be the announcement of some orders. As for the raising of capital by lowering the par value and re-issuing more shares, if this method of funding helps produce and distribute some of the orders which may have been taken already, and if it gets the new mobile camera ready quicker for distribution then we should all sit tight, keep our fingers crossed and everything will work out just fine. This company is more like a marathon than a sprint but great product, great chance and great company. The news next week should make everything clearer. GL all.
