I think the phrase closed period may specifically refer to financial reports ie accounts, but there are other restrictions for directors PDMR or even humble employees who may be aware of good or bad news before the market...

Companies get proposals all the time, it doesn't cause a closed period unless it is acted on.

Not sure exactly to be honest, but will be interested if anyone knows how that works. Does it have to be a formal offer of a deal before a closed period is called?

Not sure what to make of that. Good they are buying, but small tiny volumes and a pittance on their salaries. Also they wouldn't have been allowed to buy if there was anything going on in the background, like the rumoured idea of corporate action to but another copper project, so we still face the risk of several months of drift, in my opinion.
