The only way I can make sense of it:

Of the 21,367,521 warrants:

3,205,128 were exercised as normal (Labro paid 15p each for them and this money went to reducing the owed Labro loan)

Of the remaining 18,162,393:

About 577k were issued as normal (Labro paid 15p each for them and was used to reduce the owed Labro loan)

The rest were done on a "net issuance" basis: 10.6m "free" shares in exchange for 17.6m warrants.

This then adds up to the 14m shares issued in total.

The warrants had a "net issuance" clause which as I understand it allows a holder to exchange all or a portion of the warrant rights ("X") for issued shares ("Y") based on this formula:

Y = X * (B - A) / B

Where A is the warrant exercise price per share (15p) and B is the "fair value" price, e.g. 38p.

Applying this formula would mean Labro would get ~13m free shares in exchange for the warrants.

I am not sure how the calculation in the RNS came about. The wording is not very clear. I am not sure if the cash was paid to Labro or offset against the loan....

Good to see them hiring new folk in the London office.

Let's hope the new hire will soon get busy in particular with this aspect of the role spec:

"the ability to prepare accounting memos for technical topics and new contracts that the Group may enter into. (Acquisition, JV accounting, IFRS 16 etc.)"

Purpose :

The Financial Reporting Specialist plays a pivotal role in ensuring high quality financial data for reporting purposes.

Typical Tasks :

Contributing to the Group financial statements including preparation and review of note disclosures for the Annual Report and interim and year-
end results announcements

Helping to ensure that Group Financial Reporting processes operate effectively and that defined timescales are adhered to
Act as a key Group Reporting resource on Finance projects as required, applying knowledge of IFRS, the Group consolidation system, as well as interpersonal and project management skills to ensure project deliverables are of a high standard and that projects progress within the agreed timescales
High quality review of financial information submitted by local teams for monthly actuals reporting, budgets and forecasts.
Taking ownership of the new system that has recently been implemented to continuously improve the reporting;
Up to date knowledge of IFRS and the new standard in order to identify the effect on the financial statements and the ability to prepare accounting memos for technical topics and new contracts that the Group may enter into.

Knowledge of :

Operational mining knowledge an advantage

Qualifications :

Qualified accountant - ACA or Equivelant

Use a range of data and information sources to perform analysis and produce management reports
Understand and apply relevant accounting principles, IFRS, policies and processes
Understand the fundamental principles of effective financial systems
Social Process Skills :

Demonstrate strong influencing skills across all employee levels, including peers and senior stakeholders.
Interact and work with people and partners in a culturally diverse environment and tie this in to the requirements and processes of the greater Chaarat Group in order to achieve objectives.
Work effectively using different mediums, face to face, telephone, video conference and email.
Provide advice and propose resolutions taking into account technical and commercial outcomes.
Demonstrate excellent communication skills (verbal and written) is essential
Have a solution driven work ethic and take ownership of tasks in their entirety.

Kyrgyz-British Investment Forum in London

Chaarat Zaav CJSC invites you to participate in the third Kyrgyz-British Investment Forum in London (London Forum) on November 12, 2019.

The annual London Forum has been held since 2017 at the initiative and with the support of the company, together with the European Bank for Reconstruction and Development (EBRD) in order to raise awareness among bona fide investors about the investment opportunities of the Kyrgyz Republic. Initially, the idea of holding the forum was supported by the current President of the Kyrgyz Republic, Sooronbai Jeenbekov, as the Prime Minister.

The Third London Forum is organized with the active participation and support of the Office of the President of the Kyrgyz Republic, the Embassy of the Kyrgyz Republic in the United Kingdom and is coordinated jointly with the European Bank for Reconstruction and Development, the Ministry of Foreign Affairs of the Kyrgyz Republic, the Ministry of Economy of the Kyrgyz Republic, and the Investment Promotion and Protection Agency of the Kyrgyz Republic.

The delegation from the Government of the Kyrgyz Republic in the forum will be represented at a high level in the following composition:

The $5.5m labro loan is more than offset by the dollar value represented by the sum of the 21m oustanding warrants at 15p plus the first tranche of 42p options that Mr. A has. I think such a swap seems not unlikely?
