Why would anyone? Suckered in on the back of a business plan that only served to improve the directors bank balance at the expense on ours.

Existing shareholders may be stuck- to any new investors DON'T DO IT!

The Company also announces that it intends to become an investment company. The
Company's proposed investment strategy is to invest in natural resources,
minerals, metals and oil and gas companies which the Directors believe are
undervalued and where there is scope to create value for shareholders. Where
appropriate, the Company is prepared to take an active role in its investments
in order to secure maximum value for shareholders.

Possible investments could also include permits and licences, mining and
production licences or processing and development projects, through
acquisitions, partnerships or joint venture arrangements. Such investments may
result in the Company acquiring the whole or part of a company or project. The
Company's investments may take the form of equity, joint venture debt,
convertible instruments, licence rights, or other financial instruments as the
Directors deem appropriate.

The Company will consider opportunities anywhere in the world, with a
particular focus on Africa, South America, Australasia and central and eastern
Europe.

The returns to shareholders are expected to be by way of dividends and growth in
the value of the Company's shares

36,000,000 shares are going to be cancelled. Therefore the impact of issued shares to creditors will have a lesser impact.

5. To approve the issue of shares at 0.1p to unsecured creditors whereby their
cash claims are discounted by 75% and the balance of 25% converted into shares
of 0.1p on the basis of 1 share for every 1p of debt.
6. To approve the conversion of Directors unpaid remuneration on the same terms
as the creditors settlement.

According to SWC website, the shares will be relisted. A debt for equity swap will take place. SWC will focus on other ventures.
