18/7/2018 22:26 | I thought the Chairman seemed a bit nervous today but as this is only the second meeting I have been to I had no reference point but he must have been glad that the way the meeting was structured that we only got to know about the vote at the end and I have to say I have no idea for the negative vote. Vistogard came up twice. First to the CEO if she was concerned that no other company would want to work with us after this experience.Shee seemed very laid back saying that the judgement was not balanced and that other companies would understand what had gone on and would be happy to work with BTG. The Chairman was asked later what lessons the board had learnt from this £57m experience. He repeated that the judgement was very one sided and did not take into account the failing of the counterparty. He himself had personally done a thorough investigation into the facts of the matter and was satisfied with BTG's systems and that the main learning was to be very careful who you got into bed with. From what the Chairman and CEO said the other learning is to get better lawyers. It was a well run AGM with the Directors making themselves available, a good presentation, plenty of time for q&a and pretty good answers. | cerrito | |

One stark headline though, of the proxy votes reported ahead of the AGM, 24.75% voted against the Remuneration Report and 23.14% voted against the re-election of the Chairman - 2 very large votes demonstrating institutional angst with BTG. That said, there was a convincing defence of the ex-FD's settlement arrangements, the background details do seem to justify the Board's decision. The Zytiga patent extension until 2027 would be very welcome for BTG, but that decision is entirely out of their hands.
