Several research firms have recently weighed in on BG.

- BMO Capital Markets restated a “market perform” rating and issued a GBX 1,200 ($18.74) target price on shares of BG Group plc in a research note on Monday, August 3rd.

- Canaccord Genuity reiterated a “hold” rating and set a GBX 1,300 ($20.31) price objective on shares of BG Group plc in a research note on Monday, August 3rd.

- Deutsche Bank restated a “buy” rating and issued a GBX 1,460 ($22.81) target price on shares of BG Group plc in a research note on Tuesday, August 4th. Sanford C.

- Bernstein reiterated an “outperform221; rating and issued a GBX 1,460 ($22.81) price target on shares of BG Group plc in a report on Wednesday.

- Finally, Cowen and Company restated an “outperform221; rating and set a GBX 1,325 ($20.70) target price on shares of BG Group plc in a report on Thursday.

Although there is a small risk that the Shell deal won't complete, at least the results look decent operationally, though of course affected by the low oil price. I noticed a couple of interviews yesterday with the Shell chairman is which he was asked whether the deal still works at low oil prices - and he indicated that it works at any oil price that one might expect ( which I took to mean $20/25+) ....and he also expects to see the oil price back in the upper end of a $70-90 range again in a couple of years.

revell, just be aware this is a bid situation and the BG share price largely assumes the deal will complete, otherwise the share price would not be at these levels.

There is a small risk that it will not happen, most people are happy to accept
that risk and convert to RDSB at a discounted price on completion.

Shell made a very strong case for the acquisition benefits today.

i.e depends where RDSB ENDS UP. (Deal may be concluded in early 2016)

if RDSB ENDS UP at 2170.3p then it is worth 1350p.

1864p at the mo.

Royal Dutch Shell plc company development and recommended combination with BG Group plc

Royal Dutch Shell plc LON:RDSA has today provided the following company development and recommended combination with BG Group plc LON:BG

- Competitive performance in low oil prices; planning for prolonged downturn
- Dividend commitment unchanged: 2015 $1.88/share, 2016 at least $1.88/share
- Share buy-back commitment unchanged: $25 billion 2017-2020
- Operating cost reduction in 2015 totalling $4 billion (-10%); 6,500 job reductions in 2015
- Capital investment reduction in 2015 totalling $7 billion (-20%)
- Pro-forma capital investment 2016 for Shell + BG expected to be around $35 billion
- Further reductions in operating costs expected in 2016
-BG transaction on track – ‘grow to simplify’ leads to a more resilient and competitive Shell
- We remain on track for completion in early 2016, as planned. We are making good progress with the regulatory approvals process, including approvals received from Brazil CADE, South Korea FTC and US FTC. Pre-conditional filings have been submitted, covering Australia, China and the EU, and we are progressing well in other jurisdictions.
- A joint team has been established with BG to plan for a world class integration of the two companies once the transaction has closed, and to retain the top talent from both companies.
- Synergies from the transaction should be at least $2.5 billion per year from 2018, subject to the bases of belief, principal assumptions and sources of information set out in Appendix 5 to the announcement of the recommended combination.
- By combining Shell’s current complementary positions with BG’s LNG and deep water assets, Shell can add significant value – beyond the announced synergies – by applying its technology and know-how at greater scale, at a lower cost, concentrating on areas of existing competitive advantage, and through better optimization of the combined portfolio.

8 April 2015 .... Offer = 383p + [0.4454 * (RDSB - divs)]

When calculating the deal discount, allowance must be made for RDSB ex-dividend dates falling before the completion date

Last year the Shell fourth quarter dividend went ex div on Thursday 12 Feb 2015 (approx 31p)

At current RDSB share price , the offer equates to 1198 , so not that much of a discount.

As an RDSB holders I have everything crossed that it does fall through!,
RDSB plus 5-6% on that announcement.

Looks like Mr Market suspects that deal may fall through so thsi is why the current BG share price is at a discount of some 165 to the current offer.

also if the deal falls through a risk of a fall back to pre offer so (or even less sgiven the current and forecast POO>

any thoughts on lilelyhood of

1. Offer falling through

2. Further fall in POO - If so guesses as to prices averge in 2016 & 2017.

I say Guess rater than estimate as too many unknowns -

thanks for your reply. So the BG. investors think that the share price of RDSB is going to stay low until the final process. I don't, but I have been wrong before.

Most of the offer is in the form of RDSB shares , so the share price reflects that.
