Betfair eyes £225m listing size raised 50%

By Anousha Sakoui and Miles Johnson

Published: October 19 2010 22:56

Betfair, the peer-to-peer internet gambling exchange, is expected to increase the size of its London listing by at least 50 per cent, valuing the company at more than £1.3bn ($2.04bn).

While relatively small, the offering is being closely watched after what has been a tough year for the IPO market. Some investors contacted by the Financial Times said that Betfair's profitable and distinctive business model meant that it was more attractive than other recent UK share offerings, many of which have either fallen below their issue price since listing or have been pulled due to a lack of demand.

Betfair today announces the pricing of the initial public offering of its Shares on the London Stock Exchange (the "Offer").

· The Offer price has been set at 1,300 pence per Share (the "Offer Price")

· Based on the Offer Price, the total market capitalisation at the commencement of conditional dealings will be approximately £1,390 million

· The Offer comprises the sale of 16,227,462 existing Shares (prior to the exercise of the over-allotment option) by shareholders of the Company, representing approximately 15.2 per cent. of the total of 106,935,448 shares which will be in issue at Admission

· Morgan Stanley Securities Limited, as stabilisation manager, has been granted an over-allotment option by certain of the Company's larger shareholders over up to 1,750,322 Shares, representing 10.8 per cent. of the Shares comprising the Offer (assuming no exercise of the over-allotment Option). The over-allotment option is exercisable for a period of 30 calendar days from today

· Conditional dealings are expected to commence on the London Stock Exchange at 8.00 am today under the ticker symbol BET. Admission to the premium listing segment of the Official List and to trading on the main market for listed securities of the London Stock Exchange and the commencement of unconditional dealings are expected to take place at 8.00 am on 27 October 2010

· Following Admission, a total of 71,286,811 shares held by certain of the Company's larger shareholders and each of its directors and senior managers, representing in aggregate 66.7 per cent. of the shares in issue at Admission, will be subject to lock-up arrangements. Under the lock-up arrangements and subject to certain exceptions, the group of larger shareholders and each of the Company's directors and senior managers have agreed not to offer or sell shares for a period of 180 days after Admission (or 365 days in the cases of the directors and senior managers). If the over-allotment option is exercised in full, the number of Shares subject to lock-up arrangements will be 69,536,489 Shares, representing 65.0 per cent. of the shares in issue at Admission. The Company has entered into a similar lock-up arrangement for a period of 180 days.

Further details of the Offer are set out in the Appendix to this announcement. Unless otherwise defined, terms used in this announcement have the meaning given to them in the announcement of the Company's intention to list published on 21 September 2010

Goldman Sachs International and Morgan Stanley & Co. International plc ("Morgan Stanley") are acting as joint sponsors, Goldman Sachs International and Morgan Stanley Securities Limited (''Morgan Stanley Securities'') are acting as joint bookrunners of the Offer. Barclays Bank PLC (''Barclays Capital'') and Numis Securities Limited (''Numis'') are acting as co-lead managers in respect of the Offer.

well if you think this one has value at a mkt cap of 10m with £450k in the bank and a turnover of £87m.

I think theres a better one, LNG mkt cap very low 6m with £1.8m in the bank and expected turnover for the year £100m. Very cheap and worth a punt.. Currently in talks with a few third parties regarding a strategic partnership.

dkpetti.

Sorry i missed your post, i agree with what you say, i think those that
wanted a quick profit have took it and with little nibbles on a daily
basis it wont take long before it starts to go higher again.

Dont see much downside here, it might consolidate again but it's a
penny higher so i dont mind a consolidation if the next push gets
it to around 6p or higher.

Limits level...4.85-5.35p 100k each.

No need to apologise jimibt.

Even i thought it was a large amount for Bet when it first showed.

That's always the problem when you put most of the funds in one stock,
as soon as you do that something else you are watching that has not moved
for ages starts to go and you have to make a snap decision.

guys, aplologies, that was my 76k (yes, i know i only bought this am an' all that) that triggered those few sells. still in with 100k, but realised that i'd committed too many eggs to the basket for the time-being. plan to add another 100k if the rises continue.
