Quick observation: a lot of the corporate governance 'arguments' here - generally cordial, sometimes heated, but ultimately constructive - over time have near-enough always come down to the difference between UK and Israeli corporate governance rules and norms; ie., the tendency here is to reflect on issues from the UK perspective we know well, while the Company often operates according to Israeli corporate traditions, for the simple reason that, despite the UK listing being predominant, the Company is for all intents and purposes, Israeli.

My queries on this issue (admittedly brief, bc my soul is exhausted on all of this stuff. I just want to see the Company close on this Cyber deal, update on the rollout with CityFibre, improve coverage and PR with the Moti era, etc), has returned the following: 1. This award is not out-of-line for an Israeli-NASDAQ CEO; if anything, it may be a bit light relative to 'competitors'; and 2. despite the economic climate, there is still a (very) competitive environment for quality people. I will endeavour to further confirm those sentiments....In the meantime, the share price action remains interesting-constructive vis-a-vis possible index status.

Fair do's but having read many doc's over the years how do you equate 2% of the value of the company as set out in AGM doc with the 16.4m awarded..doesn't make sense to me.Also these awards are over 3 years and vest from 1 year..this is well away from any corporate governance code recommended practise.Remunerationschemesshouldpromotelong-term shareholdings by executive directors that support alignment with long-term shareholder interests. Share awards granted for this purpose should be released for sale on a phased basis and be subject to a total vesting and holding period of five years or more.As well as granting the non executive Chair options which is frowned on..difficult the company can moan about market valuation if they do not comply with basic code of governance.Oh well I hope Moti makes a lot of money having risked nothing along with his shareholders.I'm afraid the board needs a new chair who tidies up the company's act. It seems LO are not prepared to hold the management to account which is disappointing especially when high credible corporate governance advisors advocate voting against the boards renumeration policy.

Taking share price from exactly a year ago this options award would have had intrinsic value of £9.3m .. if the share price rallies back on the back of shareholder investment in r&d and the company actually managing to deliver and get some commercial traction thats a nice little earner for just getting the valuation back to where it was.

Good news-skin (and a decent whack)in the game and should encourage better news flow. He could have gotten these at 19p when share price was 21p but I suspect Zvi and the II wanted a certain base price given his own large holding.

This really does smack of unjustifiable greed and totally against code of governance in terms of size and duration..Moti took a couple of $m out of his last option awards selling every share he exercised and what have shareholders got since he came on board ..negative returns.Effectively gets 4% holding whilst still not sharing a penny risk with the shareholders who own the company.Unfortunately the cavalier approach to corporate governance will disallow investment by many institutions i expect.

I dont totally get the size of MN award."The options granted to Mr. Nagar have a total grant value of 2% of the value of the Company on the Grant Date,"Well at the date of grant and at the exercise price the value of the company was £112m. So 2% of that would be a generous £2.24m award...which would be options on 8.8m shares.16.4m options has a value of £4.19m which equates to more like 3.74% of the value of the company with a market cap at the grant period of £112m. This seems extraordinarily generous considering the share price and the poor trading performance. I am really quite shocked that a new ceo without holding a share in the company is effectively diluting shareholders upside by almost 4% when he as CFO has been responsible for such a disastrous performance. I imagine his renumeration will also jump to nearer $1m as Zvi was on.Can anyone explain how the options award makes 2% of the company value??

Don't think it's the buyback, the majority of the volume is a 500k+ trade and is in my opinion someone closing their short position or if it's a buy trade someone building/increasing their stake, hopefully the latter. The recent buyback trades have been shown at various different times during the day or as an auction/after hours trade..

Actually wizz, it could be a tiny bit exciting. After all, one thing we can all agree on is the Company couldn't do any worse in attracting Israeli institutional interest to date, so after what I hope will be an early effort to introduce the Moti era to the market, I think we all can have a legitimate hope of some genuine buying out of that jurisdiction, at least from the 'anyone but Zvi' crowd. So seeing a nice close in TA for a change, and in the first trading session of the year, could augur well. Or, maybe not.....
