04/1/2023 10:03 | Quick observation: a lot of the corporate governance 'arguments' here - generally cordial, sometimes heated, but ultimately constructive - over time have near-enough always come down to the difference between UK and Israeli corporate governance rules and norms; ie., the tendency here is to reflect on issues from the UK perspective we know well, while the Company often operates according to Israeli corporate traditions, for the simple reason that, despite the UK listing being predominant, the Company is for all intents and purposes, Israeli. | ![]() echoridge | |

I just want to see the Company close on this Cyber deal, update on the rollout with CityFibre, improve coverage and PR with the Moti era, etc), has returned the following: 1. This award is not out-of-line for an Israeli-NASDAQ CEO; if anything, it may be a bit light relative to 'competitors'; and 2. despite the economic climate, there is still a (very) competitive environment for quality people. 03/1/2023 16:22 | I dont totally get the size of MN award."The options granted to Mr. Nagar have a total grant value of 2% of the value of the Company on the Grant Date,"Well at the date of grant and at the exercise price the value of the company was £112m. So 2% of that would be a generous £2.24m award...which would be options on 8.8m shares.16.4m options has a value of £4.19m which equates to more like 3.74% of the value of the company with a market cap at the grant period of £112m. This seems extraordinarily generous considering the share price and the poor trading performance. I am really quite shocked that a new ceo without holding a share in the company is effectively diluting shareholders upside by almost 4% when he as CFO has been responsible for such a disastrous performance. I imagine his renumeration will also jump to nearer $1m as Zvi was on.Can anyone explain how the options award makes 2% of the company value?? | ![]() kooba | |
03/1/2023 09:57 | Don't think it's the buyback, the majority of the volume is a 500k+ trade and is in my opinion someone closing their short position or if it's a buy trade someone building/increasing their stake, hopefully the latter. The recent buyback trades have been shown at various different times during the day or as an auction/after hours trade.. | gbenson1 | |

After all, one thing we can all agree on is the Company couldn't do any worse in attracting Israeli institutional interest to date, so after what I hope will be an early effort to introduce the Moti era to the market, I think we all can have a legitimate hope of some genuine buying out of that jurisdiction, at least from the 'anyone but Zvi' crowd. So seeing a nice close in TA for a change, and in the first trading session of the year, could augur well. Or, maybe not..... | ![]() echoridge | |
