I think we can reasonably speculate that this is work of, or at least sanctioned by, the big shareholder, and if that is true, then hopefully this is just the beginning of a more active period for LOAM. I have met Moti a few times and he impresses with his knowledge of all the firm's businesses and maybe more importantly for us, is far more sensitive to the Company's historic shortcomings in promoting and marketing itself in the stock-market (not that Zvi set a very high standard to beat). He is of course far younger as well. As for motivation, he does have a significant equity holding in the form of options that still have several years to run if memory serves.

"Under his leadership, the team at BATM has delivered exceptional value creation for shareholders during those years. "To discuss.A shoe in internal candidate not ideal especially one that holds not a single share in the company despite being in a senior role for 8 years. Why now on the cusp of breaking through on 2 key technologies? Health? Or is there something more to prompt such action?

BATM Advanced Communications Limited

("BATM" or "the Group")

Directorate Changes

The Board of BATM (LSE: BVC; TASE: BVC), a leading provider of real-time technologies for networking solutions and medical laboratory systems, is pleased to announce that Moti Nagar, the Group's Chief Financial Officer, is to be promoted to become its Chief Executive Officer effective from 1 January 2023. Zvi Marom, its current Chief Executive Officer, is to step down on 1 January 2023, but will remain on the Board as Non-Executive Director.

Mr. Nagar has been the Group's Chief Financial Officer since 1 January 2015 having joined BATM in June 2014 as VP Finance. Over the past three years, in addition to being the CFO, Mr. Nagar has been the de facto Chief Operating Officer of the Group, supporting Dr. Marom in the running of day-to-day operations. Prior to BATM, Mr. Nagar held several senior positions at Deloitte from 2005, including as a Senior Manager from 2011-2014. During that time, Mr. Nagar had various responsibilities, including handling the accounts of leading corporate clients in Israel and overseas, with companies traded on the LSE, NASDAQ and TASE, as well as private businesses operating in a range of sectors.

Dr. Gideon Chitayat, Chairman of Board , said: "On behalf of the Board, I would like to thank Zvi for his tireless commitment and outstanding contribution to the development and success of BATM since founding it in 1992. Under his leadership, the team at BATM has delivered exceptional value creation for shareholders during those years. He passes on BATM in a strong financial position and with a solid platform to push ahead with the commercialisation of the IP developed within the Group. We look forward to benefitting from his continued contribution as a Board member.

"It is a measure of our reputation as a business that we are able to attract and retain high-quality people and I am delighted that Moti has agreed to become our Chief Executive Officer. Moti brings his sound financial knowledge to this position and, coupled with his capital markets and M&A expertise, I am sure he will help shape the future of BATM as a global company. Most importantly, having helped in running the day-to-day operations over the past three years, he not only provides continuity but has impressed the Board with exciting ideas on how to take the Group to the next level. W e look forward to working with him in this new role and leveraging his extensive experience."

Dr. Zvi Marom, Chief Executive Officer of BATM, commented: "It has been a privilege to serve as Chief Executive Officer of BATM. Since I founded the business 30 years ago, I have truly enjoyed working with our incredible teams and I would like to take this opportunity to thank my colleagues with whom I have had the pleasure of working and who have provided so much inspiration. I am incredibly proud of what we have achieved together.

"With both the Networking & Cyber and Bio-medical divisions at key inflection points, I feel now is the natural moment for me to hand over the running of the Group to someone who can progress it to the next stage. It gives me great confidence to welcome Moti as my successor. Moti has the necessary pedigree and is highly respected by the people in the Group and our shareholders. He has my full support as the right person to take BATM forward on the next leg of its exciting journey. In my new role, I will make myself available to ensure smooth transition and help wherever I can to enable BATM to go from strength to strength."

Moti Nagar, Incoming Chief Executive Officer of BATM, said: "I am delighted to take on the role of Chief Executive Officer of BATM. Under the leadership of Zvi, the remarkable progress over the past few years has created a strong platform for future growth. I look forward to working closely with the Board, the BATM team and our key partners as we continue to drive forward a multi-pronged growth strategy and realise further value for shareholders."

Lots of buys today , but of course the market makers lower the price , someone wants it to keep going down or maybe I'm paranoid

yes indeed, wizz. But here's the (extra) thing about the Israeli line: because between COB Thursday to yesterday's Sunday session in TA the UK price moved up small while sterling surged around 5% against the shekel, yesterday's session in TA should have seen the price there go up around 5% to be in line with the Friday UK close of 28.25p. But because the trade there continues to be a millstone around our necks, the price actually FELL around 3.5%. Therefore the 8% move so far today over there is simply making up for yesterday's fall and the net move in the £-shekel rate since Thursday. However.....the VOLUME in TA is definitely a positive as it matches the decent turnover over here so far. While it could be the same buyer I mentioned earlier working in both markets, its hopefully another (Israeli) buyer working alongside the UK one, both emerging from the Company's recent institutional presentations.

The reasonably big buyer I mentioned last week has finally started to execute today: I'd say he's bought some 500k at or just above 27.5 (he was paying higher last week at 28.25p but that was before markets puked again) and he goes on.....

>car1pet.... Its normally the case that someone who sets up a company and takes it from R&D to a commercial manufacturing stage is probably not the best person to take it forward. You make a valid point.
Marom is fine heading up the R&D side as he has significant experience and qualification to do just that.
When it comes to sales & marketing... they could be better served with specific skill sets.
I dont think its any where near "that simple" as you say, but the company is reaching another transitional stage........ where they need to look more objectively at their options.

My two penneth for what its worth. Market sentiment takes account of performance and the H1 results of the company were poor. Market sentiment also looks at the management team of a company and if its not convinced by the CEO and CFO that also weighs it down. I've been critical of Marom for years and his performance and the other two members of the board at the H1 results was very poor. Investors would IMO think the captain of the ship is no longer in control. Replace Marom and his cronies and the share price will increase significantly. Its that simple

Well we know about index selling quite a few passive sales , we know about large falls in stocks considered COVID plays , we know about the general market falls specifically technology based. We know know the impact of currency was worse than expected and that although a us$ reporting company they obviously hold as well as earn other currencies. So we know s fair bit to be honest. The bit we don't know is why no buy back and why it seems rather quiet from the company. They have still under performed any benchmark and considering they are established and profitable in some fields that should be resilient and they have a strong balance sheet that performance is disappointing..but the reasons above go a long way to explaining why they are where they are.

Cant really disagree with that. The value of the company IP is not IMO being recognized for the potential it has. The medical diagnostics side proved its worth recently and represents the major part of the company revenue. Unfortunately its was perceived as a covid stock and anything to do with Covid got sold down the proverbial.......
Telco systems is in development but it does sort of break even whilst they are in transition. But revenue from Edgility is a way off yet in any meaningful contribution.

They have to hit the reduced market expectation for FY2022
I also agree with the criticism that they have handled all this listing business very badly and need to sort to out.
If the company had handled this in a more direct and transparent way rather than waiting until it became an issue then we would be looking at an share price at least twice were its at right now even with extremely weak markets.
They have sales and cash.
But sentiment is a train wreck......

I get the point entirely..there are a few ingredients to valuation , actual performance which I have highlighted and then the ability of the management to convince of the inherent and therefore potential future value, there is then sentiment which can be specific or market. When I said convince ..I was taking as read that the company has some future value coming through but they need to be able to convince the market , which clearly is not being done on current values...then they need to deliver the actual operational performance which will boost that value and sentiment. At the moment it appears the market does not believe the story and specific and market sentiment is down the pan . Much work to do to convince investors they are worth any more than current levels right now.

Not many companies with that track record where the ceo is still in place! $1 per share raised in equity over 25 years and 30c share price..much to prove to show that he has added value..probably at least $2 per share from here ! Way to go Zvi.

Kooba... thats a perspective from a severely depressed share price.
Its part of the story.
There are a lot of late stage developments which should start to generate revenue.
The company has made significant strides in the last 5 years.
We have had a bad downturn period which is shared by most tech companies.
The share price for a lot of companies has some what improved not due to good performance but simply because the markets expect them to recover.
Still its representative of the time we are in although BATM should have been far more resilient as it does make money and has cash on hand.
Thats something that should have underpinned the share price

You missed the point The great sage stated

"Note you don’t seem to expect them to actually create value declare profits and dividends merely convince the market that they are doing so"

There's a bit more to creating value than paying a £3m dividend. As highlighted before under current stewardship the company has raised $425m + ( $17m of which as recently as 2019) in equity. The company has retained losses even after a couple of profitable years of $280m.If you want to pick the bones out of creating value from that then crack on...but I'm afraid paying a dividend shortly after raising more funding isn't that great.Past performance is no guide to future and we all hope that we are on the cusp of greatness but there is no point in making out the company under Dr Marom has been wonderful in fact it has been really very poor ..excuses excuses dot com etc aside. But in over 25 years the company has not made anything like a net profit and the market cap is a less than a third of the equity raised. Here's hoping there are some positives coming up.

Dear FSE,
I have merely asked for the corporate governance questions posed by Shifty The Rats investigative journalism to be answered. The brokers to the company are too close to management and it has been commented on elsewhere.

You are a classic example of someone who delights in doing as much damage as they can through false accusations knowing or thinking they can not be held accountable.
I have no case against you or could do anything even if I wanted.
You have nevertheless maligned the professional representation of the company , its advisors and auditors.
This BB is in the public domaine and your comments are noted.
