Evolve currently owns 53.6 per cent. of the current issued share capital of Astaire and it was announced on 13 July 2011 that the Boards of Astaire and Evolve had concluded that it would be in the best interests of each company's shareholders to put forward a proposal whereby, pursuant to a scheme of arrangement, Astaire shareholders would be given the choice of receiving new ordinary shares in Evolve or a cash alternative. Details on the possible scheme of arrangement and this proposed course of action were announced by Evolve on 13 July 2011. Further announcements will be made by Astaire and Evolve in due course on the terms and timing of the possible scheme of arrangement. It is envisaged that the implementation of any proposed scheme of arrangement would result in Astaire becoming a wholly owned subsidiary of Evolve. | tomboyb | |

Although shareholders have managed to get something back rather than the delisting scenario - you can't simply help but feel WHY the change of the ORIGINAL INTENTION. AIM needs to look stronger at why these things occur NOT only for this company but across the board. 30/6/2011 08:22 | Its the same gang that controls Astaire! The track record of value destruction at these companies is shocking and shareholders must vote against all the resolutions put forward. At Astaire, minority shareholders have no voice and will suffer when the company de-lists, whereas at least at Evolve, you have something like a £6m business (incl the Astaire stake) with a cap of £2.5m. You will also be able to trade them and vote against the Board. Sounds like a no-brainer! | acquisitor | |

30/6/2011 06:49 | The smart thing to do is switch out of Astaire into Evolve. The former is a gamble on de-listing, whereas the latter is an each-way bet. Evolve gives you access to the value within Astaire, but with the additional cushion of all the other investments that Evolve holds.
