12/8/2024 09:34 | well if angus was an attractive takeover back in 2022 then surely it is now at £10m market cap (Alliance News) - Morocco-focused Sound Energy PLC's latest bid to acquire Angus Energy PLC offers a "healthy premium", though the UK-focused oil and gas company has so far held firm. Angus Energy has recently kicked off a formal sales process. Earlier in January, it revealed a strategic review as its market capitalisation did not truly reflect its value, the company said. It's "valuation mismatch" that other smaller energy companies also experience, Angus added. Sound Energy on Tuesday said it has made a GBP21.6 million proposal, its fourth tilt at acquiring Angus. The offer comprises of 0.680 of Sound stock for each Angus share. Based on Sound's 2.20 pence closing price on Monday, the offer values each Angus share at 1.50p, valuing Angus Energy's equity at GBP21.6 million. Sound Energy shares were 4.1% lower at 2.11p each in London on Tuesday afternoon. Angus was up 6.9% at 1.21p, giving it a market capitalisation of GBP13.2 million. Sound on Tuesday said it made previous offers of 1.00 pence per Angus share, 1.30p and 1.40p. Two were made in December and one was made in January. All three were rejected. On the latest proposal, analysts at share price Angel Oil & Gas commented: "The offer appears to be fair in our view, valuing Angus at a healthy premium to its current valuation. Nevertheless, the proposal now looks to be heading hostile with Angus holding firm, but as ever, it will be the shareholders that will decide the future of this deal." Angus on Tuesday said it invited Sound to "execute" a non-disclosure agreement, along with other interested parties. This would give all suitors access to all information needed to perform "proper due diligence on an equal footing". Angus Chief Executive George Lucan affirmed: "We will proceed with our formal sales process, without preference to any party and with confidentiality afforded to those parties who wish to enjoy it, as previously advised to the market and in order to secure the maximum value for our shareholders." Speaking to analysts during their respective earnings call this week, executives at Energy Transfer LP and Williams Companies, both of which operate pipelines across the US, revealed they were in talks with datacenter operators to supply them with large quantities of natural gas. "We are, in four different states, in discussions with multiple datacenters of different sizes. Some of them, or many of them, want to put generation on site ... So it's an enormous opportunity for us," Mackie McCrea, co-CEO of Energy Transfer LP, told Wall Street, according to a transcript. Energy Transfer LP's pipelines currently span 15 states in the USA, serving 185 power plants. Looking at the opportunity afforded by datacenter hookups, McCrea estimated that power demand could increase by 30 to 40 gigawatts over the next six to eight years. "We believe we are extremely well positioned to benefit from the anticipated rise in natural gas needs," Energy Transfer LP co-CEO Tom Long added. Energy Transfer LP isn't the only pipeline operator eager to take advantage of skyrocketing datacenter power demands. Speaking to analysts earlier this week, Williams Companies CEO Alan Armstrong expressed optimism about the firm's ability to capitalize on this demand. "We are right in the throes of that. We have a very long backlog of projects, and I will tell you that particularly in the Southeast and Atlantic," he said. However, Armstrong hesitated to say how large an opportunity that may be. "We frankly are kind of overwhelmed with the number of requests that we're doing and we are trying to make sense of these projects," he said. The idea of datacenters foregoing the utilities and building out their own gas plants is by no means new. As we reported last year, Microsoft spent €100 million to build 22 gas-powered generators capable of producing 170 megawatts total in order to keep its €900 million datacenter development outside Dublin, Ireland, running. While datacenter operators getting into the power business may seem like a strange idea, in certain markets, such as Dublin, utility capacity isn't guaranteed. As we reported last month, datacenters already consume more than a fifth of Ireland's electricity. In America, Amazon Web Services (AWS) has also opted to power some of its Oregon datacenters using natural gas fuel cells. Much like the fuel cells used in many spacecraft, they generate power without the need for combustion. However, unlike space-faring fuel cells that turn hydrogen and oxygen into water vapor and power, the natural gas variety also produces CO2. | iceagefarmer | |
