03/1/2019 12:59 | Ace. That's what I believe should happen. If RH doesn't announce disposal then he is liable to FCA action (slap across the wrist, no doubt). Dont underestimate RH though, as he is still able to exert a lot of influence over the share price, even if has disposed of all of his shares. In some respects he has received criticism for doing us all a favour both in terms of kicking off about options and opportunity, but probably many many out there who do not see that as an opportunity if they were stopped out, or if they sold not being kept in the picture about RH disposals, often refuted by many who still post. In practice, and the Nomad would alway allow it, because its enshrined in the Companies Act and a requirement in law that BENEFICIAL owners are known, so the idea of asking nominees is irrelevant, as they have the obligation to comply anyway. Companies like Argus Vickers and many others provide this information easily and the City have access to such details. A company does not even need to use the services of another it can issue notice under the Companies Act, and it has been used on a number of occasions, but the situation with RH in my opinion does not warrant it now, albeit that information is still easily available to those in the City. 03/1/2019 11:07 | In theory you are right FA, but I have never seen any company do this and the only reason why you would is in the event that you fear a politically exposed person owns shares or someone is stakebuilding without disclosing. For a sub 3% threshold I doubt the NOMAD would allow you to bother: asking nominees who the UBO of their holding is will be time consuming and not something to be done lightly. | ![]() mad foetus |
