No. Mark Ward increased his holding to 83.9m shares or 19.6%, even after the dilution, so took up a lot of Placing shares; and the Fitzherberts remain unchanged at 12 million but representing a smaller proportion diluted. M Adler's holding also represents a smaller proportion <3% diluted but the resultant holding is not stated.

3 RNSs out today. One holder selling 428m+ to another - raising their holding to 19.6%. They're confident! And another large holder has reduced to <3% by selling 12m.

I’m not sure even the MMs know which way this is going in the short term.
Up is the logical direction since we’ve grown as a business and carry less risk. Down would be a fab top up oppo though.

The Placing, which will raise gross proceeds of GBP3,750,000, was completed at a price of GBP0.02 per share with a warrant to subscribe for an additional share at GBP0.03 valid for two years from admission. The 187,500,000 Placing Shares being issued represent approximately 77.8% per cent of the existing issued ordinary share capital of the Company immediately prior to the Placing.

Rather than paying Pello in cash for finding the people willing to invest £3.75 million in ALGW, GS obviously made a good enough case that they were willing to accept 18,750,000 warrants at 2p. This way Pello only make any money once they can sell at over 2p and ALGW also get a further £375k of funds.

When exercised the second warrants bring in another £5.6m and I’m sure they’ll use it wisely to bring more AUM under the company management structure.

So get this into your thick head:

Shares currently in issue = 240,820,000


Shares to be issued:

Placing = 187,500,000
Warrants to placees (1 for 1) = 187,500,000
Warrants to Pello = 18,750,000

Total shares to be issued = 393,750,000

= 164% dilution

The warrants to Pello are exercisable at just 2p:

"Subject to the completion of the Placing, Pello Capital will be awarded 18,750,000 warrants exercisable at the placing price of GBP0.02p valid for two years."

What is even worse is there is also one warrant issued to the placing participants per 187.5m placing shares, meaning another 187.5m warrants, taking total dilution to around 160%%.

If you had any idea what is going on in ALGW your post might have been worth reading.
First the 187.5k shares were placed in order to buy an insurance company making about £350k net profit a year which will pretty much make the group break even. The value of the insurance company now that it is owned by a plc rather than an individual is about x3 what has been paid for it.
When you spend money to buy another company it is called acquisition not dilution.
Second the warrants are at 3p so will only be taken up when we are all showing a 50% profit from where we are today.
If you consider that ALGW is for lemmings and mushrooms only you are presumably not invested here so why are you wasting your time posting here?

187,500,000 Placing Shares being issued tomorrow = 77.8% per cent of the existing issued ordinary share capital of the Company, plus 18,750,000 warrants exercisable at just 0.02p within two years = 206,250,000 shares, total representing 86% dilution!

Plus 1 fo 1 warrants to placees!

They are just dilution merchants and the 2p warrant exercise price tell you what they think of forward value.

What is more the fund only managed 10.6% growth at a time when a record number of people were dying of Covid, so probably will perform even worse once the vaccinations kick in.
