22/2/2008 20:38 | FWIW, SPS shareholders have been going through the same thing, they have been trying to organise shareholders and canvass other prospective bidders, their predator only managed 61% before first deadline and they extended for another week, which ended today. A similar thing may be managed here but it is going to need a lot of work from everyone. Good luck, Trout. | troutisout
22/2/2008 20:21 | viking - that was the question I asked myself. The only answer I could find was 'a better offer from Hemcon'. The current management have lost interest, and I assume simply sold out for a sweet deal and an easy life. No other bidders seem to have shown up, and in my interest, given how poor the business's history and prospects have been painted, are unlikely to. If enough shareholders can be organised, then I'm pretty sure a better deal can be obtained from Hemcon - I believe they really want nanospider as it's fundamental to their business - but it's going to take a long time, with a hope of what, 16p? BTW I assume that everybody is aware of the trt example, where shareholders seem to have staged a very successful revolt? If there's a serious desire to do something more than whinge about the offer, it might be worth contacting the organisers there to get advice - I believe it was organised through one of the bbs although I don't know which. | supernumerary
22/2/2008 19:57 | Well it is down to whether there is another bidder out there or not. If not then its bite the bullet and move on. 06, what happens if they only get 74% and stop the deal. Management are for this, the Board say it is fair and recommend it. If it fails then it costs the company 200k sterling in penalties after they have said they have looked elsewhere for another bidder. Okay in the heat of the moment we are furious, amd frustrated. Then what? | viking1066
22/2/2008 19:44 | still can't believe it all.. I don't think they even pay once expected revenue of 2008. It can't be true! Shouldn't we get more information on numbers for 2007 and expectations for 2008? | 4web
22/2/2008 19:37 | On 21st Jan 2008 the Directors took part in a statement that deliberately misinformed us. It turns out that they DID know of, and supported the 14p cash offer. This was not disclosed to us at that time, and had it been disclosed to us we would have filled our pockets with the 9.25p shares. They surely are responsible for some form of damages, no? Read on:- "The Board of Alltracel has noted the recent press speculation and confirms that it has received a very preliminary approach from a third party which may or may not lead to an offer(!!!) being made for the entire issued share capital of Alltracel. It should be emphasised that discussions are at a very early stage and that there is no certainty(!!!!) that they will lead to an offer. The Directors of Alltracel accept(!!) responsibility(!!) for the information contained in this announcement. To the best of their knowledge and belief (having taken all reasonable care to ensure that such is the case)(oh oh, what a whopper!!!), the information contained in this announcement for which they take responsibility..(I hope we can make them take responsibility).. is in accordance with the facts and does not omit anything likely to affect the import of such information." !!!!! Yes, I'm annoyed and who are the new term "Independent Directors" anyway? | alimo
22/2/2008 17:42 | coincall - thankyou numbers - Good luck with your efforts, you have my support. | wes1
22/2/2008 16:44 | Header updated - how can geery accept this as the major shareholder? How can Tony support this when he's been buying shares at a premium to this price. Are Alltracel running out of cash and had no options? This is really sad that a company with so much potential, clearly couldnt manage their business. | james t kirk
22/2/2008 15:46 | Well, sorry guys but I'm out. Can't face another six months of chasing the odd penny here - there are better fish to fry - alimo will know what I mean. Wish you all the best, and will keep an eye on it for old times sake, but a sad end to a disappointing story. | supernumerary
22/2/2008 14:53 | Valid point, but frustrating. Unless someone decides to come it with a better offer or support of 75% is not achieved at the EGM then it looks like this deal is closed. It seems that the one deal that they have managed to achieve is an easy one because it is not making a profit for long term holders, but short term buyers from 9p are doing quite alright. | viking1066
22/2/2008 14:16 | You are right LBO, but it's frustrating. | 4web
22/2/2008 13:59 | If everyone thinks its worth more then 14p (which it probably is) then why was everyone not buying more shares at 9-10p? Personally, I cant complain but I could see how some who bought higher would be annoyed especially if they missed the opportunity to buy more when the opportunity arose! Sadly something is only worth what someone is willing to pay at any given time | lbo
22/2/2008 13:43 | 4web - that's what I thought. Hemcon effectively get the nanopeutics stuff they want for next to nothing. | supernumerary
22/2/2008 13:37 | Super as an answer to your question: so this accounts for 75% of current bid. | 4web
22/2/2008 13:31 | You've got to laugh, haven't you? They're selling because they don't think they'll be able to raise the money to make acquisitions, and because the share price isn't as high as they'd like it to be. It's all the market's fault, guv, honest... Whatever happened to just running the business well like normal managements do? I wonder how much they turned down for Westone at the last approach? | supernumerary
22/2/2008 13:29 | 4WEB, You shouldn't rely on G Brandon coming to the rescue as he has been a persistent seller for some time now. I estimate his holding at a level of 3/5 million shares, if that. However I can say that as shareholders we have a reasonable chance of voting it down. I will be looking for support from the posters on the thread and hope to put in place an arrangement whereby people can disclose their holdings in confidence and forward proxies to an appointed solicitor who will attend the EGM and vote down this shameful attempt to defraud the shareholders. LET BATTLE COMMENCE. WE TAKE NO PRISONERS ! | 06015197
22/2/2008 13:24 | Must say I really feel deceived. I bought this share for 27 penny ten years ago (shouldn't have done I know). Now ten years later our management approves an offer of -50%. How can this be true. Quite angry to be honest. | 4web
22/2/2008 13:18 | So I guess not anyone on this BB is willing to sell? Thats at least 5%. I am convinced Mr. Gerard Brandon won't sell. That's another 10%. We only need about 10% more shareholders to vote 'no' at any AGM. | 4web
22/2/2008 13:11 | Stunned!!!!! Little more I can say | viking1066
22/2/2008 13:02 | coincall, you might be right. Maybe there are other offers coming. None of the shareholders will sell for these amounts, so this takeover won't come through. | 4web
22/2/2008 12:59 | Wes, I will take this moment to thank you for all the brilliant research you have brought to this thread, it will be sad to see this co. sold for such a derisory sum, I only hope it leeds to other offers. | coincall
22/2/2008 12:56 | Call in Viking, I am surprised he is not shouting. | coincall |
