Adorian is, subject to conditions including those set out below, to acquire the entire issued share capital of Anglo Biotrans for a consideration of #199,382,470 to be satisfied by the issue to the Vendors of 1,000,000,000 ordinary shares of #0.01 each in the capital of Adorian (the "Consideration Shares"). The acquisition is conditional inter alia upon satisfactory due diligence, the approval of the shareholders of Adorian and compliance with the other procedural and substantive regulations governing the transaction applied under the AIM Rules and the Code on Takeovers and Mergers and upon satisfying any regulations required by Anglo Biotrans. The proposed acquisition will represent a "reverse transaction" under the AIM Rules, and, accordingly, dealings in Adorian's shares will be suspended with immediate effect pending publication, in due course, of the required admission document.
