25/10/2019 10:13 | RNS Number : 1782R adept4 plc 25 October 2019 Adept4 plc ("Adept4" or the "Company") Exercise of Options, Issue of Equity and Total Voting Rights Adept4 (AIM: AD4), the AIM quoted provider of IT as a Service, announces that on 22 October 2019, it received from BGF Investments L.P. ("BGF") a notice of exercise of options held over 12,500,000 ordinary shares of 1 penny each in the capital of the Company ("Ordinary Shares"). The options were exercised at a price of 0.35 pence per share in accordance with the terms of the agreement between the Company and BGF dated 21 October 2019 ("Option Agreement"), raising gross proceeds for the Company of GBP43,750. Following receipt of the subscription monies from BGF today, the Company has allotted and issued 12,500,000 Ordinary Shares to BGF. Further details of the Option Agreement are provided in paragraph 6 of the Company's 02 October 2019 announcement, a copy of which is available to view on the Company's website at Application has been made to the London Stock Exchange for 12,500,000 new Ordinary Shares to be admitted to trading on AIM ("Admission"). It is expected that trading in the new Ordinary Shares will commence on AIM at 08.00 a.m. on or around 31 October 2019. Following Admission, the Company will have 457,725,686 Ordinary Shares each carrying one voting right in issue. The Company does not hold any Ordinary Shares in treasury. 25/10/2019 07:40 | MXCP have alreday stated in an RNS that they now hold 15% as a result of the new shares issued. The new Directors who got shares e will also have to RNS their holding. By the way ANY director holding even 1 shares has to RNS that 1 share. All Directors have to RNS any share buys or sells regardless of whether they own more or less than 3% Im sure they will all get round to it. The seller of 12.5m will also have to RNS. But...if you are still active in the market reducing or increasing your position you do not have to RNS your holdings until you have finished adding or selling. | chimers | |

25/10/2019 07:36 | It is not up to the company (AD4) or any company to do this it is the holder of the shares that must do this, the company cannot inform the market until they themselves have been officially informed by any shareholder moving above or below the limits. Take 'Painless' for example ...he must now inform AD4 he has gone below 3% If he doesnt then he is breaking the law. So is his broker. However they can drag it out and take ages sometimes. | chimers | |
