Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) and (c)   As previously reported, on March 12, 2024, Stephen L. Faulkner, Jr. (Larry) informed Empire Petroleum Corporation (the “Company”) that he was resigning as Chief Financial Officer and Chief Accounting Officer of the Company effective on March 28, 2024. The Company remains in a search process to identify Mr. Faulkner’s successor. On May 10, 2024, the Board of Directors of the Company appointed Michael R. Morrisett, the Company’s President and Chief Executive Officer, to temporarily serve as the Company’s principal financial officer until the Company hires a replacement principal financial officer.
