Western Prospector Group Ltd. ("Western")(TSX VENTURE:WNP) received notification after the close of markets on Tuesday, September 30, 2008 that the offer by Tinpo Holdings Industrial Company Limited ("Tinpo"), through its wholly-owned subsidiary (the "Offeror"), to acquire all of the common shares (the "Shares") of Western (other than the Shares beneficially owned, directly or indirectly, by the Offeror, its joint actors and their affiliates) for cash consideration of $1.34 per Shares (the "Offer"), had been withdrawn. On Tuesday, September 30, 2008, Tinpo notified representatives of Western that it was withdrawing the Offer because it claimed it had become aware of an unpublished document which indicated that the Government of Mongolia may be considering the nationalization of the uranium industry in Mongolia. Western is of the view that Tinpo has no right, contractual or otherwise, to withdraw the Offer or to fail in any other respect to perform its obligation to acquire the Shares in accordance with the terms of the Offer or any of its other obligations under the support agreement and related guarantee each dated July 15, 2008 (the "Agreements"). Western intends to pursue vigorously all of its rights and remedies against Tinpo, its principals, shareholders, officers, directors and any others who act jointly or in concert with or who otherwise assist Tinpo in breaching any of its obligations under the Offer or the Agreements.
