("Zone-IP" or the "Company")

Directorate change

The Company announces that Naamit Salomon has resigned as a director of the
Company, with immediate effect, due to conflicts of interest with other
directorships that she holds. The Company intends to appoint a new independent
non-executive director as soon as practicable.


Naamit Salomon has been the vice president, Finance of Formula Systems Ltd. since august 1997. Also serves as a director of Magic Software Enterprises Ltd.


There will be some reverse takeover, takeover, or other between Zone-ip and Formula Systems or Magic Software. I think it will go from one of them to Zone-ip because Emblaze and Co. are holders of almost 90% in zone-ip and much less at Formula Systems. But Magic is as well a candidate. Remember the appointment of Eli to its board. And some Non-Executive Directors of Zone-ip are as well in Magic.

NEW TRICKS ARE COMING.

Ericthecat, thats what they told us on the reverse takeover.

I do not think they are still profitable especialy without of 6 months any news or new contract.

They told me there would come a new upgrade of a software out in February but it is already the end of February and no news came out.

Huge without customer the technology is rip for a company to buy with no old deals to support, so above in that senario is a positive thing,

I think ZIP looks the worst of the bunch. Then ORCA (revenues have collapsed). Both ADA and VDI look excellent as market caps covered by cash and showing strong revenue growth (especially VDI).

Orca and ADA I think will come good; but yep ZIP and VDI is both a question mark; With this as the largest;

I hope

1) Orca first then I will put the profits into ADA
2) ADA is next, then all those profits into VDI
3) VDI goes then I am not sure if its time to call it a day

Looks like at the moment ORCA is the only "one" with hopes for the near future to make any gains and oportunity to stepp out.

ADA will be some months of patience and ZIP???????

Current trading and prospects of the Enlarged Group
Emblaze V CON's current trading continues to be in line with the budget for the financial year ending 31 December 2006.
The Directors have been encouraged by the progresswhich Emblaze V CON has demonstrated in strengthening and improving its leadership position in IP based videoconferencing, especially in light of the growth of the videoconferencing infrastructure systems market. As a result of these efforts, Emblaze V CON has commercially proven its products, is expected to lauch new products during 2006, has successfully expanded its customer base and has managed to build up a strong pipeline of potential business. The Company may consider additional acquisitions in the IP field in the future.



Now, if any sphere of activity, performance of its business, or expectation of its performance has changed the AIM company must issue notification without delay.

But they didn't made any notification, so business should be as descibed in the prospect above!? (any coments on this)

Actualy if you read post of 4graham - 10 Feb'06 - 08:23 - 702 of 828
Emblaze did buy 2.400.000 shares on 11 nov06 so the 3 big trades where not from Emblaze. (maybe are cross trades)

Probably they are the shares that were needed to make the majority of the two EGM 10 January 2006 to appoint five new Directors to the Board.
And the EGM of 12 july 06 to pass the reverse takeover.

On 18 july 06 Emblaze bought 7,124,205.
Probably they paid more than 0,45£ for the shares

Has some one the IPO prospectus of Ki-Bi, I didn't prited it out back then and now can not find it anymore on the internet?

There is the info about the shares prior the newly issued at IPO, the shares that Emblaze had before the IPO and the investments they did in Ki-Bi prior IPO.

It is the missing part here.

From 1990 through August 1997, Ms. Salomon was a controller of two large, privately held companies in the Formula Group. Ms. Salomon holds a BA degree in economics and business administration from Ben Gurion University and an LL.M. degree from the Bar-Ilan University.

As Zone-ip told they are looking for new acquisitions, so a takeover from one of the many Formula Systems can be in favour of Zone-ip, especially because Emblaze and co hold more than 86,78% of all the shares.

They want to cash it one ore the other way on the market.
But how??????

So put all the relevant news back up front so every one that is interested, can start calculating the price that Emblaze paid per share.
And how they did it!

Maybe this is at the moment the only positive news to hold on.

Please do not starting to delete it, because you can not find it else were on the internet.
