Result of EGM and Notice of Books Closure
Yujin International Ltd., the owner and charterer of a fleet of tankers operating in the Asia Pacific region announces that at the Company's Extraordinary General Meeting held today, the resolutions proposed to shareholders (as set out in its circular to shareholders dated 23 December 2015) (the "Circular") were duly passed.
Books Closure Date
NOTICE IS HEREBY GIVEN that the Register of Members and the share transfer books of the Company will be closed at 5.00 p.m. on 25 January 2016 ("Books Closure Date") in order to determine the shareholdings of the Shareholders for purposes of the Proposed Scheme (as defined in the Circular).
On the Books Closure Date, every 100 Existing Shares registered in the name of each Shareholder will entitle such Shareholder to receive one Yujin Holdings Pte. Ltd. ("YHoldings") Share with no entitlement to holders of Existing Shares of any fraction of a YHoldings Share.
A further announcement will be made on the date on which YHoldings Shares will be distributed to Shareholders.
In accordance with the AIM Rules, the Company will be categorised as an AIM Rule 15 cash shell upon distribution of YHoldings Shares to Shareholders. The consequence of which, the Company will be required to make an acquisition or acquisitions which constitute a reverse takeover under AIM Rule 14.
