Placing and Issue of Equity of GBP0.9 million

The Board of XCAP (AIM: XCAP.L), the independent wealth management and capital markets investment bank, is pleased to announce that it has raised a total of GBP905,000 via the issue of 323,214,285 new ordinary shares of 0.1p each in the Company ("Ordinary Shares") at 0.28p per share (the "Placing").

Application will be made for the new Ordinary Shares to be admitted to trading on AIM and dealings are anticipated to commence on 13 November 2013, following which the Company will have 2,087,538,038 Ordinary Shares in issue. Proceeds will be used for general working capital purposes as the Company continues to execute its corporate strategy.

Under AIM Rule 21, XCAP directors and applicable employees were unable to participate in the Placing because the Company is currently in a close period ahead of the publication of its financial results. Once the close period has ended, it is XCAP's current intention to allow its directors and applicable employees the opportunity to subscribe for further Ordinary Shares on similar terms.
