17/2/2011 10:18 | Des, thanks for setting this site up. My details are correct. I have just registered on the JPJ website (not easy because the boxes and box names are out of line on my pc). The dealing price is currently shown as 3p, with no deals yet showing. envirovision - I don't think you were at the EGM, but there was a lot of discussion about board accountability and keeping shareholders informed. They stressed they were still a plc, all be it unlisted, and agreed to maintain their investor page on their website and keep investors informed of major developments. I understand the board have said to those who supported the delisting that they will appoint another non-exec shortly, and the chairman indicated to me that this would probably be someone who knew the industry well. 17/2/2011 09:17 | Now the company is private they really don't owe you anything in particular internal management communications, regardless of the fact you have a small shareholding. Theres a few legal filings every year and that's it..and even then they dont have to send you a copy, just companies house. Although you can purchase these from companies house at a later date. I was just making that point, that's all I think you have high expectations. | envirovision | |

We still need independent non-execs to ensure that the interests of all shareholders are protected. The process of delisting might have been handled rather differently if there had been a stronger non-exec prescence. What was yr point ? | grahamty | |

I am not for one minute suggesting that Fred needs particular oversight. How about a quarterly conference call...that would be a company first ! The previously public and listed company William Ransom & Son Plc delisted and re-registered as a Private Limited Company called William Ransom & Son Ltd whilst retaining company number 00126138. At the same time a Public Limited Company called William Ransom & Son Holdings Plc was set up with company number 07465546. This company took over William Ransom & Son Ltd and distributed shares in William Ransom & Son Holdings Plc to shareholders in William Ransom & Son Ltd on a one-for-one basis in consideration for this takeover. So shareholders in William Ranson & Son Plc prior to delisting now own the same number of shares in William Ransom & Son Holdings Plc following the delisting and restructuring. They do not own directly any shares in the Private Limited Company called William Ransom & Son Ltd. On 4 July 2011 William Ransom & Son Ltd was sold to OBG Pharmaceuticals so that William Ransom & Son Holdings Plc now holds the two new subsidiaries as its operating divisions.
