Mandatory Conversion of Shares

Further to the announcement made on the 24 January all Euro Shares and US Dollar Shares for holders of record at close of business on the 7 February 2013 ("Euro and US Dollar Shareholders") are to be re-designated as Sterling Shares:

   Total number of shares converting from US Dollar Shares to Sterling Shares             914,746 
   Total number of shares converting from Euro Shares to Sterling Shares                      307,358 

The unaudited net asset values per share of the Sterling Shares, Euro Shares and US Dollar Shares as at 31 January 2013 are:

   Sterling Shares                  GBP1.3589 per share 
   Euro Shares                        EUR1.2338 per share 
   US Dollar Shares               $1.1432 per share 

The following conversion ratios were used:

0.777315 Sterling Share for each Euro Share

0.530610 Sterling Share for each US Dollar Share

The following foreign exchange rates as at 31 January 2013 were used:

   USD / GBP      0.630736 
   EUR / GBP      0.856160 

As announced on 24 January 2013, the listing of the Dollar Shares and Euro Shares will be cancelled with effect from 8 a.m. on 8 February 2013.

Shareholder CREST accounts for Euro and US Dollar Shareholders will be credited with new Sterling Shares on 8 February 2013. Letters and new Share certificates will be issued within the next 30 days to non CREST Euro and US Dollar Shareholders.

The Company has made an application to admit 724,269 Sterling shares to the official list of the UK Listing Authority and the Channel Islands Stock Exchange, and to trading on the London Stock Exchange and the Channel Islands Stock Exchange.

Following issue and cancellation of the relevant shares and in accordance with the Disclosure and Transparency Rules (5.6.1) the total number of shares in issue and voting rights in each class will be as follows:

   -    22,419,182 Sterling Shares 

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules (5.1.2).
