    Director Shareholding

    Stonemartin was today notified that Graham Ede and Tim Worboys, Joint Managing Directors of the Company, were today allotted the
following numbers of Ordinary Shares of 1p each of the Company ("Ordinary Shares") under the Company's 2004 Long Term Incentive Plan (the
"2004 LTIP").

    The Ordinary Shares allotted to Graham Ede and Tim Worboys were previously held by the trustees of the Company's Employee Benefit Trust
(the "EBT"). In order to take up their awards of Ordinary Shares under the 2004 LTIP, each of Graham Ede and Tim Worboys were required to
pay the nominal sum of £1 to the trustees of EBT.
