OFFER TO BUY BACK ("OFFER") UP TO 14,838,077 ORDINARY SHARES OF 5P

Shoprite Group P.L.C. ("Shoprite") has today announced an offer to buy back up
to 14,838,077 shares (approximately 20% of the current issued share capital of
the company).  The offer document will be available shortly on the company
website (www.manxshoprite.com) and will also be posted to all shareholders that
were on the register on 28 September 2007.   Authority for the buy back was
granted on 29 May 2007 at the Annual General Meeting of the Company.  The Offer
price is 15.4 pence, 10% above the closing middle market price of 14.0 pence as
quoted by the London Stock Exchange on 4 October 2007. This is the maximum price
that can be paid under the authority which has been granted. The Offer will
close on Thursday 15 November 2007 at 3.00pm.

If acceptances are received for a total number of Shares in excess of
14,838,077, then the number of Shares repurchased from each Shareholder will be
pro-rated in accordance with the number of shares held by each Shareholder
participating in the Offer.
