DIRECTORATE CHANGES

Prologic, a specialist provider of software, services and consultancy to the fashion & lifestyle sector, announces the following changes to the Board, following the offer for the Company by ESWC Acquisitions Limited ("ESWC") becoming wholly unconditional:

- Andrew Price and Danielle Royston, both directors of ESWC, have been appointed to the Board as executive Directors, with immediate effect; and

- Colin Wells, Chairman, and Mark Quartermaine and Paul Clifford, each non-executive Director, have given notice of resignation from the Board with effect from 31 July 2012.

1. Think3, Inc., a company in which Mr. Andrew Price is a director, filed for Chapter 11 bankruptcy protection in the Western District of Texas, Austin Division on May 18, 2011. Think3, Inc. has a registered branch office in Bologna, Italy, which was also taken into bankruptcy separately, on April 14, 2011. On August 1, 2011, the Italian bankruptcy trustee in the branch office case filed a Chapter 15 petition in the U.S. bankruptcy case, requesting recognition of the Italian bankruptcy proceedings as the "main" bankruptcy proceedings. That petition was denied by the U.S. bankruptcy court on September 12, 2011, and the court declined to recognize the Italian proceedings as foreign main or foreign non-main bankruptcy proceedings.

2. Centra Technology Limited, a company in which Mr. Andrew Price was a director, was placed into Creditors Voluntary Liquidation on 12 September 2011. The final meeting was held by the liquidators on 27 April 2012.
