Pilat Technologies International Ltd ("PTI" or the "Company") was notified on
25 November 2007 that the conditional sale of shares, which now totals
6,105,685 shares, (the "Shares") by certain shareholders, as announced on 17
September 2007 received the approval of the Israeli anti-trust authorities on 7
November 2007 and will complete today.

The selling shareholders are as follows:

PTI has been informed that the New Shareholders have entered into a
shareholders' agreement pursuant to which Sky Private Equity Fund, the General
Partner of SH Sky Investment (ADM) L.P., has control over the voting rights of
all of the Shares and therefore controls 23 per cent. of the issued share
capital of the Company.
