    OFEX HOLDINGS PLC ("THE COMPANY")

                DISPOSALS REDUCING HOLDING IN COMPANY BELOW 3%

Pursuant to Section 198 of the Companies Act 1985, the Company received
notification on 6 October 2004 that, Pershing Keen Nominees Limited (acting on
behalf of Mr Michael Stubbs) sold 250,000 shares in the Company on 29 September
2004 and a further 250,000 shares on 30 September 2004.  The holding has
therefore been reduced to 600,000 ordinary shares, which is 2.79% of the
Company's issued share capital.
