   Issue of Equity and Total Voting Rights 
 
   Octopus Eclipse VCT plc (the "Company") announces that 547 Ordinary 
Shares of 10p each ("shares") were issued and allotted on 9 June 2016 at 
a price of 34.4p per share, equivalent to the current NAV of 32.5p 
grossed up by up to 5.5% in relation to an offer for subscription 
("Offer") pursuant to an offer document issued by the Company on 19 
January 2015. The shares were allotted after the close of the Offer and 
relate to shares allotted as a result of reduced adviser charges in 
accordance with the terms and conditions of the Offer. 
 
   In addition, a further 13,841 Ordinary Shares of 10p each were issued 
and allotted to employees of Octopus Capital Limited and directors of 
the Company at a price of 34.4p per share, equivalent to the current NAV 
of 32.5p grossed up by up to 5.5%, as a result of a rebate of part of 
the annual management charge by Octopus Investments Limited, the 
Company's investment manager. 
 
   Mr Alex Hambro, the Chairman and a director of the Company, was allotted 
559 Ordinary Shares at a price per share of up to 34.4p and his total 
holdings are now 30,791, representing less than 0.1% of the Company's 
issued Ordinary share capital. 
 
   Mr Lars McBride, a director of the Company, was allotted 4,425 Ordinary 
Shares at a price per share of up to 34.4p and his total holdings are 
now 301,386, representing approximately 0.3% of the Company's issued 
Ordinary share capital. 
 
   Mr Matt Cooper, a director of the Company, was allotted 1,498 Ordinary 
Shares at a price per share of up to 34.4p and his total holdings are 
now 82,416, representing approximately 0.1% of the Company's issued 
Ordinary share capital. 
 
   Mr Roger Penlington, a director of the Company, was allotted 715 
Ordinary Shares at a price per share of up to 34.4p and his total 
holdings are now 39,372, representing less than 0.1% of the Company's 
issued Ordinary share capital. 
 
   Ms Jane Vinson, a person discharging managerial responsibilities, was 
allotted 1,325 Ordinary Shares at a price per share of up to 34.4p and 
her total holdings are now 29,499 Ordinary Shares representing less than 
0.1% of the Company's issued share capital. 
 
   Mr Stuart Lewis, a person discharging managerial responsibilities, was 
allotted 589 Ordinary Shares at a price per share of up to 34.4p and his 
total holdings are now 35,642 Ordinary Shares representing less than 
0.1% of the Company's issued share capital. 
 
   Application has been made to the London Stock Exchange for admission of 
the new shares. Admission is expected to become effective on or around 
23 June 2016. 
 
   The issued share capital and total voting rights of the Company is now: 
100,110,705.
