Ocean Resources Capital Holdings Plc ('Ocean' or the 'Company')


Proposed winding up of the company - update


Further to the announcement made on 6 August 2007, the board of directors of
Ocean announce that should the Members Voluntary Liquidation be approved at
Extraordinary General Meeting the Company would request that its shares be
suspended from trading on AIM and that they remain suspended until cancellation
is effected which would take place at 7am on 14 September 2007.

It should also be noted that under Section 88 of the Insolvency Act 1986 any
transfer of shares not being a transfer made to or with the sanction of the
liquidator and any alteration in the status of the Company's members made after
the commencement of the voluntary winding up is void.
