Update on the Scheme and Results of the Second General Meeting

The Board of Miton Income Opportunities Trust PLC (the "Company") posted a
circular to shareholders dated 30 August 2013 (the "Circular") which contained
detailed proposals for the reconstruction and voluntary winding up of the
Company (the "Scheme"). Pursuant to the Scheme, Eligible Shareholders will
receive ordinary shares in The Diverse Income Trust plc ("DIVI") in exchange
for their Shares in the Company.

Results of the Second General Meeting

At the Second General Meeting of the Company held today, 30 September 2013, the
special resolution to place the Company into liquidation, appoint the
Liquidators and empower them to effect the Scheme, were all duly passed on a
show of hands.

The proxy votes received for the Resolution were as follows:

Votes for: 10,836,950
Votes at Chairman's discretion: 8,300
Votes against: 7,792
Votes withheld: 0

Please note that, at the First General Meeting of the Company held on
23 September 2013, a resolution was passed to amend the articles of association
of the Company so that any votes cast in favour of the Resolution proposed at
today's Second General Meeting would be deemed to be at least one more vote
than the number of votes required to pass the Resolution and any vote not cast
or cast against the Resolution were to be deemed to have been cast in favour of
the Resolution.

Copies of the Resolutions have been submitted to the National Storage Mechanism
and will shortly be available for inspection at www.morningstar.co.uk/uk/nsm.

Suspension of Shares

The listing of the Company's Shares was suspended at 7.30 a.m. this morning.

The Scheme remains conditional on the admission of the DIVI ordinary shares to
listing on the premium segment of the Official List of the UKLA and to trading
on the Main Market of the London Stock Exchange, which is expected to occur on
Tuesday 1 October 2013.

Capitalised terms used in this announcement have the same meaning as in the
Circular.
